In July 2023, KEW Legal® completed the formation of a 501(c)(3) nonprofit corporation for a South Florida recreation organization and secured IRS recognition of its tax-exempt status.
The firm began with a structured questionnaire to establish the organization’s purpose and governance, then drafted bylaws and prepared the nonprofit filing with the Florida Division of Corporations.
As the board took shape, KEW Legal® prepared articles of amendment to reflect the organization’s directors, and worked directly with the Division of Corporations when the filing required changes, following it through to acceptance.
The firm then obtained the organization’s EIN, reviewed and revised the corporate documents, and prepared the application package for recognition of exemption under Section 501(c)(3), reviewing the complete package with the client before filing with the IRS. The application was approved.
“Nonprofits fail their exemption applications on governance documents more often than on mission,” said Kristina E. Wilson. “Build the articles and the bylaws to say what the IRS needs them to say, and the application goes through.”
KEW Legal® advises nonprofit and community organizations across Florida on formation, governance, and tax-exempt status.
