In May 2026, KEW Legal® closed the purchase of membership interests in a Florida limited liability company, after first restoring the company to active status.
The entity had been administratively dissolved. Before any transfer could be documented, KEW Legal® handled the reinstatement and updated the company’s corporate records so that ownership could be established on the face of the filings.
With the entity active, the firm confirmed the existing ownership structure with the parties, then drafted the operating agreement and the membership interest purchase agreement, addressing transaction structure, purchase price, and related deal terms.
KEW Legal® prepared the assignment of membership interest, obtained a certificate of good standing, assembled the final document package, confirmed wiring instructions with the parties, and drafted the amendment filed to reflect the change in ownership. The firm initiated the wire and reviewed the closing documents.
