If a contract does not have a specific clause about something, can the other party still be held responsible for it under Florida law?

Sometimes yes, but it depends on the situation. Florida courts recognize implied terms like fair dealing, which means parties must act honestly even when something is not spelled out. Courts can also look at industry custom, prior dealings between the parties, and the Uniform Commercial Code for goods-related contracts.

How long do I actually have to sue someone for breaching a written contract in Florida, and does it change if the contract is verbal?

Florida gives you five years to sue on a written contract and four years for an oral one, under Florida Statute 95.11. The clock usually starts ticking the day the breach happens, not the day you discover it, though there are exceptions. If you wait too long, the court will dismiss your case no matter how strong it is. 

What happens if I signed a contract but later realized the other party lied about something important?

You may have grounds to rescind the contract or sue for fraudulent inducement. Florida law requires you to show the other party knowingly made a false statement of material fact, you relied on it, and you suffered damages because of it. Puffery and sales talk do not count, but concrete lies about finances, condition, or ownership usually do. 

Do I really need a lawyer to review a contract, or can I just use an online template and save the money?

Templates are fine for low-stakes situations, but they often miss Florida-specific requirements and do not account for your actual business. We have seen clients lose six figures because a template did not include a proper indemnity clause or had a venue clause pointing to another state.

Claims based on not understanding the contract rarely work unless there was fraud, unconscionable terms, or a true inability to read the document. 

What is the difference between a liquidated damages clause and a penalty clause, and why does it matter in my contract?

Liquidated damages clauses set a pre-agreed dollar amount for specific breaches, and Florida courts will enforce them if the amount is a reasonable estimate of actual damages. Penalty clauses, on the other hand, are meant to punish the breaching party and are not enforceable.
