Why They Needed Help

The refinancing totaled $412 million and was provided by a group of lenders, with the New York branch of Bank of China serving as administrative agent. The developer needed experienced borrower-side counsel to represent its interests across a multi-lender transaction of this size.

How KEW Legal Helped

KEW Legal® represented the developer as borrower, working with the lenders and their administrative agent to bring the transaction to a close. The $412 million refinancing closed in August 2022.

Why They Needed Help

The company had been administratively dissolved by the state. Until it was restored to active status, there was no valid entity to buy an interest in, and no clear record of who owned it.

How KEW Legal Helped

KEW Legal® first reinstated the company and updated its corporate records so ownership could be confirmed from the filings. With the entity active again, the firm verified the ownership structure with the parties, then drafted the operating agreement and the membership interest purchase agreement, covering deal structure and purchase price. KEW Legal® prepared the assignment of interest, obtained a certificate of good standing, confirmed wiring instructions, and filed the amendment reflecting the new ownership. The purchase closed in May 2026.

Why They Needed Help

The client had received a lengthy franchise disclosure document and agreement containing detailed requirements related to fees, operations, territory, marketing, renewals, transfers, and termination. Although the opportunity appeared promising, the client did not fully understand the long-term obligations or the restrictions that would apply after signing.

How KEW Legal Helped

KEW Legal® reviewed the franchise disclosure document and agreement, explained the client’s financial and operational obligations, and identified provisions that could affect the client’s ability to operate or exit the business. The firm also discussed potential risks involving territory rights, personal guarantees, renewal terms, and required purchases. This allowed the client to evaluate the opportunity with a more complete understanding of the commitment involved.

Why They Needed Help

The landlord’s form lease favored the landlord. The deal also involved financial details, such as the security deposit, prepaid rent, taxes, and the order of wire transfers, that needed to be settled before signing.

How KEW Legal Helped

KEW Legal® redlined the landlord’s lease and negotiated through several rounds with the landlord’s attorney, checking every returned draft against the last one so that no removed terms quietly reappeared. The firm worked with the landlord’s counsel and the client’s accountant to finalize the deposit, prepaid rent, and wire sequencing. After signing, KEW Legal® gave the client a plain-language summary of the lease’s key terms and ongoing obligations, and stayed involved through key handover and move-in.

Why They Needed Help

The client had invested heavily in branding, marketing, and online visibility but had never applied for federal trademark protection. As the business grew, the owner became concerned that another company could use a similar name or challenge the brand.

How KEW Legal Helped

KEW Legal® reviewed the proposed mark, discussed how the business was using it, and evaluated potential conflicts with existing registrations. The firm helped the client identify the appropriate trademark classes, prepared the application, and guided the client through the filing and review process. This gave the business a stronger legal basis for protecting its name as it expanded.

Why They Needed Help

The transaction was valued at $12 million and combined a change in the company’s structure with a buyout. Both pieces had to be documented correctly so the company and the parties involved were protected once the deal closed.

How KEW Legal Helped

KEW Legal® guided the client through the $12 million corporate restructuring and buyout, which was completed in September 2023.

Why They Needed Help

The former partner’s claims put the company’s finances and day-to-day operations at risk. The owners needed to respond quickly, protect the business while the case moved forward, and understand whether the claims had any real basis under the parties’ agreements.

How KEW Legal Helped

KEW Legal® reviewed the company’s operating documents, the parties’ prior agreements, and the financial records relevant to the dispute. The firm prepared the company’s response, identified weaknesses in the former partner’s claims, and pressed for an early resolution. The matter was resolved without disrupting the company’s operations, and the owners were able to refocus on running the business.

Past results do not guarantee a similar outcome. Every matter depends on its own facts.
