In September 2024, KEW Legal® completed the dissolution of a two-partner Florida law firm on behalf of one of its principals.
The firm began with a conference call establishing the key terms the client needed the dissolution to achieve, then prepared the initial partnership dissolution agreement and a termination agreement.
Because the dissolution had to be effected through the entity as well as between the partners, KEW Legal® also drafted the corporate documents required to authorize it — notice of the board meeting, meeting minutes, and shareholder consent — so the wind-down was properly documented at every level.
The negotiation moved through several rounds. KEW Legal® reviewed each redline returned by the client and by the other side, revised the termination agreement accordingly, and stayed with the matter until the client confirmed satisfaction with the final documents.
