In May 2023, KEW Legal® completed the formation of a Florida nonprofit corporation for its client and prepared the federal exemption filing.
The engagement began with a questionnaire and a working call to establish the organization’s purpose, structure, and governance before any documents were drafted.
KEW Legal® then filed the nonprofit entity with the Florida Division of Corporations and prepared proposed bylaws, reviewing the draft with the client before adoption.
As the organization’s leadership developed, the firm prepared an amendment to the bylaws, documented the appointment of a new director, and coordinated the filing of the amendment with the Division of Corporations alongside the application for the organization’s EIN.
Order matters in nonprofit formation. The state filing, the bylaws, the board appointments, and the EIN each depend on the one before it, and a filing made out of sequence can delay the federal application by months. KEW Legal® sequenced the work so the exemption application could be submitted on a complete record.
