It covers private employers with ten or more employees. If you’re deciding whether to discipline or fire someone who raised a legal problem, start here. This guide explains Florida whistleblower law for private employers in plain terms.

Does the Florida Whistleblower Act Apply to Private Companies?

Yes, if your company is a private employer with ten or more employees. The statute defines an employer as any private individual, firm, partnership, institution, corporation, or association that employs ten or more persons (Fla. Stat. § 448.101).

Count the people who perform services for your business for wages and under your control. The statute excludes independent contractors from the definition of employee, so they don’t count as employees under this law.

Coverage isn’t the only question. Federal whistleblower rules can apply alongside Florida law. The federal OSHA complaint process has its own filing steps and deadlines (OSHA whistleblower complaint information).

If an employee has raised a possible legal violation and you're weighing a firing or suspension, our team can talk it through with you before you decide. Stat. § 448.101).

The Act also doesn’t cut back other rights. Those include rights under other laws, a union contract, or an employment contract (Fla. Stat. § 448.105).

What Counts as Protected Activity Under the Statute?

Reporting to an agency. An employee who discloses, or threatens to disclose, a violation to a government agency is protected. The disclosure must be under oath and in writing.

Helping an investigation. An employee who gives information to, or testifies before, an agency or other body investigating the employer is protected.

Objecting or refusing. An employee who objects to, or refuses to join, an employer practice that breaks a law, rule, or regulation is protected.

The objection category has a strict test. To prevail in a retaliation claim under section 448.103 alleging a violation of section 448.102(3), an employee must establish that the employer’s activity, policy, or practice to which the employee objected is, by definition, in violation of law (Gessner v. Southern Co.).

The Written Notice and Opportunity-to-Correct Requirement

For the agency-disclosure category, the employee must first raise the problem in writing. The employee must tell a supervisor or the employer in writing. The employer must also get a reasonable chance to fix it (Fla. Stat. § 448.102).

Check three things. Does a written complaint exist? When was it sent? Did the employer have a real chance to respond? The answer depends on the facts of each report.

The notice step matters for recovery too. An employee may not recover if they failed to give the employer the notice that § 448.102(1) requires (Fla. Stat. § 448.103).

What Doesn’t Count as Whistleblowing?

A complaint that doesn’t point to a violation of a law, rule, or regulation falls outside the statute. Complaints about pay, schedules, or how a supervisor treats someone are common examples.

An at-will employee can be let go at any time, but not for a reason the law prohibits, such as retaliation (Laguerre v. Palm Beach Newspapers, Inc.).

When Discipline or Termination Could Be Treated as Retaliation

The statute bars a personnel action taken because an employee exercised a right protected by the act. Under section 448.102(1), that protection does not apply unless the employee has, in writing, brought the activity, policy, or practice to the attention of a supervisor or the employer and afforded the employer a reasonable opportunity to correct it. That reason is the core question. A firing, suspension, or demotion can be challenged on that basis.

Some patterns draw questions. Watch for a new performance problem raised only after a complaint. Watch for discipline harsher than what comparable employees received. Watch for a sudden change in how a manager treats the reporting employee.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Remedies and the Deadline to Sue Under Florida Law

The statute sets the deadline. An employee may sue within 2 years after discovering the action, or within 4 years after it was taken, whichever is earlier (Fla. Stat. § 448.103). The clock doesn’t simply start at the violation.

A court may order an injunction against continued violations. It may order reinstatement and restore full fringe benefits and seniority. It may also award lost wages, benefits, and other compensatory damages allowed at law.

The court may also award reasonable attorney’s fees, court costs, and expenses to the prevailing party (Fla. Stat. § 448.104).

Steps an Owner Should Take Before Acting on a Discipline Decision

Pause before you act. If a worker recently reported a problem, hold the discipline until the facts and timeline are reviewed.

Preserve everything. Keep the written complaint, emails, performance reviews, and schedules. Don’t alter or discard any of them.

Write down the legitimate business reasons for any action, and date them. Confirm that the same standards apply to comparable employees.

Watch your words. Avoid comments to the employee or coworkers that could be read as punishing the report.

Talk Through Your Situation With KEW Legal

If an employee has reported a possible violation and you’re weighing a firing, suspension, or demotion, talk with us before you finalize it.
