Wilson · Published October 18, 2026

A toxic business partner can stall decisions, drain trust, and put the company at risk. To handle one, document the facts, read your governing agreement, ask for records in writing, and then choose a path. Those paths include direct negotiation, mediation, a buyout, or removal under the agreement or a court order. This guide walks owners and investors in Miami-Dade, Broward, and South Florida through each step.

What Makes a Business Partner Toxic?

A toxic business partner repeatedly harms the company and resists every attempt to fix the problem. Common patterns include:

Missed capital contributions

Making major decisions alone

Withholding bank and accounting records

Hostility toward other owners or staff

Repeated deadlock on key votes

An ordinary disagreement is different. Owners argue about strategy, then reach a decision. A toxic pattern keeps repeating, hurts the business, and blocks every fix.

Check your partner’s role, too. An active partner runs daily operations. A silent partner puts in money but does not run the business. The role matters because voting rights often follow ownership. In a member-managed LLC, each vote is proportionate to that member’s interest in profits, and a majority-in-interest of members must approve most acts (LLC voting rules). Management also rests with the members unless the operating agreement says otherwise (LLC management rules).

Missed capital contributions need close attention. A promise to contribute money to an LLC is enforceable only if the person signed it in writing (LLC contribution rules). Written proof carries more weight than memory. Collect emails, texts, meeting notes, bank and accounting statements, signed agreements, and payment histories.

Next, build a timeline. Note the date, what happened, who was present, and what the records show. Keep what happened separate from what you think your partner meant. Mixing the two weakens your account.

Preserve records in their current form. Don’t edit, delete, or reorganize originals. Copy them as they are and keep a log of where each one came from. A rearranged folder can look like tampering.

Keep operations documented too. Write down approvals for payments, sign-offs, and decisions made during the dispute. These notes show the company kept running with proper oversight.

Florida law also sets out what an LLC must keep. It must hold a current list of members and managers, its articles, three years of financial statements, and records of each member’s contributions, at its principal office or another location (LLC records rules). Those records show what you can ask to see.

Read the Governing Documents First

The operating agreement, partnership agreement, or shareholder agreement is the first document to review. It controls most disputes. Look at the clauses that usually decide these fights:

Voting thresholds and deadlock provisions

Capital call obligations

Information and inspection rights

Transfer restrictions and buy-sell terms

Withdrawal and expulsion provisions

Dispute resolution steps

Where the agreement is silent, Florida’s default rules fill the gap. Under the partnership act, partners and their agents and attorneys can access the books during ordinary business hours (partner records access). For a corporation, a shareholder may inspect records with at least 5 business days’ written notice (shareholder inspection rules).

Same facts, different documents, different results. Read the agreement before you plan anything else.

How to Resolve Conflict With a Business Partner Directly

Start with a calm, written request. Name the issue, the agreement provision that applies, and a reasonable date for a response. Keep the tone factual. Leave out insults and blame.

Ask for records in writing. LLC members have information rights. The company must share information that matters to a member’s rights and duties, and it must give reasons if it declines a demand (LLC information rules).

If the company refuses a proper request, a circuit court may order inspection and copying. The court must also order the company to pay reasonable attorney fees, unless the company proves it refused in good faith with a reasonable basis to doubt your right (court-ordered inspection).

After each meeting, send a short written summary of agreed next steps. That way, disputed points aren’t left to memory.

Avoid public accusations and social media posts. Also avoid confrontations with employees, vendors, or customers. These moves can weaken your position later.

Resolution Paths: Negotiation, Mediation, Buyout, and Removal

The main paths are a negotiated written change, mediation, a buyout, or removal. The right fit depends on the facts and the documents. Each path has its own steps.

Negotiation can restructure roles, decision rights, and reporting. Changes to an operating agreement need the consent of all members (LLC voting rules). Mediation is structured negotiation with a neutral third party. Some agreements require mediation before a lawsuit, so check the dispute clause.

A buyout can follow the valuation and payment terms in the agreement. A court can also order a purchase. When a member asks a court to dissolve the company, the other members may elect to buy that member’s interest at fair value. The election may be filed within 90 days after the petition, or later if the court allows (buyout election rules).

Removal is harder. A member can be expelled by judicial order for wrongful conduct that materially harms the company, or for willful or persistent material breach of the operating agreement (LLC expulsion rules). If owners are deadlocked and irreparable harm is threatened, a deadlock sale provision started before the court rules can apply instead (judicial dissolution rules).

Leaving is also a path, but not a free one. A member can withdraw at any time. The withdrawal can still be wrongful, for example by breaching the operating agreement or by withdrawing before the company finishes winding up. A wrongful withdrawal can make that member liable for the damages it causes (LLC withdrawal rules).

No path can be assumed to produce a particular outcome. The other owner’s response also shapes what happens next.

Protecting the Business While the Dispute Is Pending

Protect the company by confirming who can sign checks and move money. Then keep bills and obligations current.

Start with bank signing authority, online banking credentials, and payment approval steps. Ask the bank for the current list of authorized signers. Don’t change those permissions without the authority the agreement gives.

Watch for warning signs of diverted funds. These include unexplained transfers, payments to related parties, and changes to vendor information, such as new bank details for an existing supplier.

Keep vendor, lease, and employment obligations current. New missed payments create new problems that can outlast the dispute.

Avoid self-help steps. Changing locks, cutting off a partner’s access without authority, or removing records can create liability of their own. Put requests in writing and route them through the agreement.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Common Mistakes Owners Make in a Partner Dispute

The biggest mistakes are waiting too long, making side deals, signing releases without reading them, and missing deadlines.

Waiting too long can narrow your options. Start reading the agreement and documenting incidents early.

Side deals create confusion. An arrangement with staff, vendors, or the other owner that never reaches the governing documents can be hard to enforce or explain later.

Read every settlement or release before you sign. Know exactly which rights you give up.

Deadlines matter. A formal notice or a clause in your agreement can set a clock. For example, Florida lets other members file an election to purchase within 90 days after a petition, unless the court allows more time (buyout election rules). Check your own agreement for shorter windows.

When to Involve Outside General Counsel

Bring in outside general counsel when a dispute involves a written demand, a threatened lawsuit, suspected misuse of funds, a deadlock that stops operations, or an exit that needs formal documents.

If your co-owner is stonewalling, you may feel stuck. That feeling is common, especially when you built the company yourself. Some owners also find themselves in this position through a decision they didn’t make.

Outside general counsel supports the business on an ongoing basis. That can include reviewing agreements, employment matters, vendor contracts, and commercial leases. A partnership dispute attorney handles the dispute itself, from the written demand through any negotiation, mediation, buyout, or court step.

Can I force my business partner out of an LLC in Florida?

Possibly. Florida allows expulsion by judicial order in specific cases, such as wrongful conduct that materially harms the company.

What if my LLC partner stops contributing money?

A promise to contribute must be in a writing the partner signed to be enforceable. The operating agreement can also set consequences for a failure to contribute.

KEW Legal has offices in Coral Gables and Sunny Isles Beach and serves Miami-Dade, Broward, and South Florida.
