Here is the short answer to what is the difference between a general counsel and an outside counsel. A general counsel is the chief lawyer employed inside one company. Outside counsel is a lawyer or law firm that a business hires from outside, under a contract. The two roles overlap, and many businesses use a third model called outside general counsel. A general counsel is the senior in-house lawyer for a company. Many companies call this role chief legal officer (CLO). The general counsel runs the company’s legal affairs day to day.<\/p>\n

The person in this role is usually a licensed attorney who works as an employee of the company. They report within the company’s management structure, not to an outside client. What Is Outside Counsel?<\/h2>\n

Outside counsel is an external lawyer or law firm that a business retains from outside the company. The business does not employ this lawyer. The relationship runs under an engagement agreement, which sets the scope of work and how the lawyer is paid.<\/p>\n

Outside counsel is usually brought in for a particular matter. Examples include a lawsuit, a business sale, a vendor contract dispute, or a commercial lease. When that matter ends, the engagement often ends too, unless the parties agree to expand it.<\/p>\n

A business can use outside counsel with or without an in-house lawyer. A small company with no staff attorney may hire outside counsel for each issue as it comes up. A larger company with a general counsel may still bring in outside lawyers for litigation or for technical transactions the in-house team does not handle.<\/p>\n
