Most fall into four areas: money, people, agreements and property, and ownership and rules. Cash runs short, staff disagree, partners split, vendors miss deadlines, leases fall behind, and owners change. Each of these can turn into a legal matter.

This list isn’t complete. It covers the business disputes described in this article. Many owners first see these issues as business problems. The legal side usually shows up later, when a claim or demand letter arrives.

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. The firm works with business owners and investors across Miami-Dade and South Florida. Ask what problems do small businesses face, and cash is usually part of the answer.

Late customer payments leave a gap between money owed and money received. Rising supplier prices, tight credit, and higher rent can widen that gap. When cash runs short, owners often delay a vendor payment or fall behind on rent. A missed payment is where the legal exposure usually begins.

Unpaid bills can become lawsuits. Under Florida law, a contract for the sale of goods costing $500 or more generally requires a signed record to be enforceable, subject to statutory exceptions (§ 672.201). A promise to pay another person’s debt also needs a signed writing (§ 725.01). That matters when an owner personally agrees to cover a company’s debt. Read the written terms before you sign.

Hiring, managing staff, and employee disputes

Staffing problems become legal problems when pay, job classification, or firing decisions aren’t documented. Skill gaps, hard-to-fill jobs, turnover, and training costs are common operating problems. Each one can create legal risk for the employer.

Wage claims are one type of employee dispute. Under Florida’s minimum wage law, a worker must give written notice before suing for unpaid minimum wages. The notice must specify the minimum wage claimed, the actual or estimated work dates and hours, and the total unpaid amount (§ 448.110).

A court may also award the prevailing party costs and a reasonable attorney’s fee in an unpaid wage case (§ 448.08). That is a real cost risk, so keep accurate pay records.

Terminations and complaints need the same care. Keep written policies, dated reviews, and notes on why a decision was made. KEW Legal’s employment law attorney for employers practice covers the employer side. The firm also provides outside general counsel to businesses in Miami-Dade and Broward County.

Disagreements between owners and partners

Owner disagreements usually start with a decision nobody wrote down. Common fights involve management control, capital contributions, profit splits, and the direction of the business. Each co-owner may remember the same deal differently.

Unwritten understandings make these fights harder to resolve. For an LLC, the operating agreement governs relations among the members. The statute fills gaps only where the agreement does not provide otherwise (§ 605.0105). An operating agreement cannot relieve a person of liability for bad faith, willful or intentional misconduct, or a knowing violation of law (§ 605.0105).

Partnerships follow a similar rule. The partnership agreement governs relations among partners, but it cannot eliminate the duty of loyalty (§ 620.8103).

How a dispute gets resolved depends on the facts. It may move through negotiation, mediation, or a lawsuit. KEW Legal’s partnership dispute attorney practice focuses on these owner conflicts.

Vendor, customer, and contract disputes

Most contract disputes come down to what was agreed and whether it was put in writing. Late or poor work, unclear scope, vague payment terms, and fights over ending a deal are the usual flashpoints. A clear written contract prevents many of them.

Florida law also requires some agreements to be in writing. An agreement that cannot be finished within one year must be in writing and signed to be enforced. The same rule applies to a lease for longer than one year (§ 725.01).

Time limits matter too. For an action on an oral or unwritten contract, including a sale of goods, Florida law allows four years (§ 95.11). Other claims have different periods. Waiting too long can limit your options, so raise the issue early.

KEW Legal’s business contract and vendor dispute attorney practice covers these disagreements. The firm helps owners review what was agreed and what the next steps are.

Leases, commercial property, and eviction problems

A Florida landlord of commercial space can recover possession only through specific legal routes. Those routes are a court action, a surrender by the tenant, or the tenant’s abandonment of the premises (§ 83.05). Self-help steps are not on that list.

Common lease problems include unclear renewal and maintenance terms, disputed rent amounts, and questions about assignment or subletting. Each gap in the lease can become a fight over money or control of the space. For general background on commercial leases, see the SBA guidance on commercial leases.

KEW Legal handles commercial evictions for owners who live abroad. The statute presumes abandonment only in limited cases. Without actual knowledge of abandonment, the presumption requires that the landlord reasonably believes the tenant has been absent 30 consecutive days, rent is not current, and a notice under § 83.20(2) was served with 10 days elapsed. It does not apply if rent is current or the tenant notified the landlord in writing of an intended absence (§ 83.05).

KEW Legal’s commercial lease attorney and commercial eviction attorney practice areas cover these matters. The buyer is protected only if specific conditions are met. A receipt or certificate of compliance from the state, with no insiders in common, is one route. A finding after audit that the seller is not liable is another (§ 213.758).

Due diligence matters for that reason. Review tax status, leases, contracts, and open claims before closing. Owners without a succession plan face similar gaps. Valuation, buy-sell terms, and what happens when an owner leaves or dies often go unresolved.

KEW Legal’s business acquisition and sale attorney and business succession planning attorney practice areas cover these transitions.

Regulatory and policy uncertainty in Florida

Courts and lawmakers both shape the rules that affect small businesses. Owners who plan around a rule should confirm its current status.

Rules that affect small businesses can change quickly. For example, Chapter 2025-208, Laws of Florida repealed the sales tax on commercial rent.

Ongoing duties matter too.

Are small businesses struggling in 2026?

Conditions vary by industry, location, and business size. There is no single answer for every owner. Pressure tends to show up in three places: cash, staffing, and contracts. Those are the same places where legal problems start.

When cash is tight, an owner may renegotiate a supplier price or delay a rent payment. Either change can lead to a contract disagreement or a lease default. Staffing strain can lead to wage or termination disputes. A written record of each change protects the business.

Why small businesses fail, and where legal problems fit

Small businesses often close after cash runs short, plans fall apart, or owners stop agreeing. These problems feed each other. A cash gap can cause a missed vendor payment, and that payment can become a contract fight.

Unresolved disputes add cost and delay. A partner dispute can freeze decisions. A lease default can leave a space idle. An unpaid wage claim can carry attorney’s fee exposure under Florida law (§ 448.08).

Each business’s outcome turns on its own facts and choices. Early, written, and documented steps usually give owners more control over the next move.

Talking through your situation with KEW Legal

If you’re reading this during a partner disagreement, a vendor fight, or a lease default, you may be working through a problem you didn’t choose.
