Wilson · Published October 17, 2026

Customer poaching is when someone draws away a company’s existing customers, usually to win their business for themselves or a competitor. The customers already had a relationship with the first company, and another party took them. If you’re asking what is customer poaching because clients are moving toward a former partner, a former employee, or a rival, this page gives you the basics. It also covers the Florida law that often applies, at a general level.

What customer poaching means

Customer poaching means taking customers that already belong to another business’s relationships. The word suggests taking something that belongs to someone else.

Competing for customers is normal. A business that wins a new customer in an open market is competing. Poaching is different because the customer was already tied to a specific company, and someone worked to pull that customer away.

Lawyers usually look at two things. First, who had the relationship with the customer. Second, how the customer was approached. A customer who leaves on their own after comparing options is different from one who was steered away using a former owner’s account list. A customer leaving is not, by itself, proof of poaching. The method and the timing matter as much as the outcome.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

How customer poaching differs from employee poaching

Employee poaching is recruiting another company’s workers to join you. Customer poaching concerns a business’s clients or accounts. Employee poaching concerns its staff.

People discuss them together because one departure often involves both. A former manager might take a team to a new firm and also call the company’s largest accounts. The same person can create both problems.

Other terms show up in business talk. “Client poaching” means the same thing as customer poaching, with “client” used by service businesses. “Corporate poaching” is a broader phrase. It describes one company, or its principals, drawing away another company’s customers or staff. The label matters less than the facts: who the customer belonged to, and what was done to move that relationship.

Common situations where customer poaching arises

Customer poaching often shows up after a key person leaves. The departure is usually the moment the relationship starts to shift. Three common patterns appear in these disputes.

First, a departing partner or co-owner starts a competing business. That person may know the longtime clients well. They may contact those clients before leaving or soon after.

Second, a former employee takes client contacts or relationships to a new employer. The employee may have built the account, so the customer knows them personally.

Third, a vendor, supplier, or competitor approaches a company’s customers. The approach may come after learning about those accounts through a shared project or a supply contract.

Timing often draws attention. Customers who shift soon after a key person leaves raise questions. Owners often notice this as a sudden drop in reorders or a customer asking about a new company. Writing down the pattern while the details are fresh helps.

How Florida law addresses customer poaching

Florida does not have one rule called customer poaching. Several legal ideas can apply, depending on the written agreements and the conduct involved.

Partners and LLC managers owe duties to their business. Florida’s partnership law says a partner’s duty of loyalty includes refraining from competing with the partnership in the conduct of its business before dissolution (Fla. Stat. 620.8404). Under the LLC statute, the duty of loyalty, including the duty not to compete, applies to members of a member-managed LLC and to managers of a manager-managed LLC (Fla. Stat. 605.04091).

Restrictive covenants are another common issue. These are restrictive covenants, which Florida regulates under Fla. Stat. 542.335. Under Fla. Stat. 542.335, a court shall not enforce one unless it is in a writing signed by the person it’s aimed at. The person seeking enforcement must prove a legitimate business interest. The statute lists substantial relationships with specific prospective or existing customers, and goodwill tied to a trade name, a specific geographic location, or a specific marketing or trade area, as examples. The restraint must also be reasonably necessary to protect that interest. Any restrictive covenant without a legitimate business interest is void and unenforceable. The statute also says a court shall modify an overbroad restraint and grant only the relief reasonably necessary. An overlong clause is not automatically thrown out.

Florida also protects trade secrets. Fla. Stat. 688.002 defines a trade secret to include a compilation of information. The statute requires that the information derive independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who could obtain economic value from its disclosure or use. It must also be the subject of reasonable efforts to keep it secret. Under Fla. Stat. 688.003, actual or threatened misappropriation may be enjoined. Under Fla. Stat. 688.004, a complainant may recover damages for misappropriation.

Business disputes can involve many different legal theories, and interference with business relationships is one example. These generally involve an outside party who interferes with a business’s relationships. Outcomes depend on the agreements, the duties owed, and what actually happened.

Records and documents that matter in these disputes

The most useful records are the written agreements, customer records, a dated timeline, and copies of communications. Keep originals in a safe place.

Written agreements come first. Partnership or operating agreements, employment agreements, non-solicitation and confidentiality clauses, and any sale or buyout documents all matter. Under Florida’s restrictive covenant statute, a covenant must be in a signed writing to be enforced.

Customer records show the relationship before the departure. Account lists, contact histories, invoices, and emails show who handled each account and how long it stayed active.

Timeline evidence is simple but important. Write down the dates of resignations, account changes, and customer communications. A dated list shows when the shift began.

Communications from the departing party matter too. That includes messages sent to customers or staff.

Under Fla. Stat. 620.8403, a partner may access partnership records, and the partnership may charge a reasonable amount covering the costs of labor and material for copies. For LLCs, Fla. Stat. 605.0410 provides that a dissociated member may have access to certain information from the period of membership, subject to conditions: the demand must be made in a record, in good faith, and for information reasonably related to the person’s interest.

Frequently asked questions about customer poaching
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
What does corporate poaching mean?

Corporate poaching is a broader business term.
