Wilson · Published October 17, 2026

Short answer: Tell your lawyer the full, accurate picture, including facts that hurt your position. Keep guesses, your lawyer’s advice, and private commentary away from outsiders, because that is where protection can be lost.

Why This Question Comes Up in Business Disputes

Business owners ask what not to tell the attorney because they fear one statement could hurt their position. The worry shows up in many forms.

A partner stops returning calls, and you wonder whether to mention an old side deal. A vendor stops paying. An employee files a complaint. A tenant falls behind on rent, and you’re not sure how much to say about past payments. Each situation tempts people to say too little, or to say too much to the wrong person.

That uncertainty is normal. Your question is really about two things: what your lawyer must keep private, and what can cost you that protection. Both matter from the first call.

This page explains general Florida principles of confidentiality and privilege. The answer depends on the facts.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

What You Are Supposed to Tell Your Lawyer

Tell your lawyer everything relevant, including facts that look unhelpful, embarrassing, or minor. A lawyer can only advise on the facts they know. A fact left out can change the advice you receive.

Most business matters need these categories:

A timeline of events, with dates as best you know them

Contracts, leases, operating agreements, and emails or texts about the dispute

Everyone involved, including partners, vendors, employees, and tenants

Any demands, notices, or warnings you sent or received

Any settlement offers you made or received

Florida law treats offers of settlement in a specific way. Under Florida’s general rule, evidence of a compromise offer is generally not admissible to prove liability or the amount of a claim (Fla. Stat. § 90.408). Share every offer with your lawyer, who can explain how it fits your situation.

Your lawyer may ask the same question twice, or in a new way. That usually means they’re checking the facts, not testing your honesty.

Do Lawyers Have to Keep Information Confidential?

Two separate protections apply here, and people often mix them up.

A fact in a contract, a bank record, or a text message can still come out in a dispute, even if you first mentioned it to your lawyer.

Mediation has its own rules. Under Fla. Stat. § 44.405, mediation communications are confidential. A participant may not disclose them to anyone except other participants or their counsel. The statute has exceptions. A signed written agreement reached in mediation is not confidential unless the parties agree otherwise. Information that is otherwise discoverable does not become protected just because it was used in mediation.

Where Privilege Can Be Lost: Information to Be Careful With

Privilege can weaken when you share your lawyer’s advice with people outside the conversation. Outsiders include a business partner, an employee, a vendor, a landlord, or an insurer.

Common mistakes include:

Forwarding a lawyer’s email to a group chat

Discussing legal advice in a meeting with staff who don’t need it

Posting about the dispute on social media or in online reviews

Before you forward a document or summarize your lawyer’s advice to anyone, ask your lawyer first.

Employers face a related issue with handbooks. A confidentiality rule that stops workers from discussing pay or working conditions can conflict with their federally protected rights. The National Labor Relations Board says handbooks and workplace policies must not interfere with those rights. Federal anti-discrimination rules also reach handbooks, hiring, and workplace policies. The EEOC prohibited employment policies guidance applies alongside Florida law. It does not itself establish Florida-specific law.

Statements That Can Hurt You: Guesses, Written Notes, and Limits

Guesses and casual written comments can become evidence, so label what you don’t know. A text such as “I think he signed in March” can be quoted later.

Tell your lawyer when you aren’t sure of a date, number, or detail. Say “I’m not sure” instead of presenting a guess as fact.

Accuracy has a legal side too. Under Florida law, a court shall award a reasonable attorney’s fee when it finds that a party knew or should have known a claim was not supported by the material facts (Fla. Stat. § 57.105). The same statute protects a lawyer who acted in good faith based on the client’s representations about those facts. That protection depends on what you tell your lawyer, which is why accurate facts matter.

Timing matters in money disputes, too. Florida’s fraudulent transfer statute lets a court consider, among other factors, whether a debtor had been sued or threatened with suit before a transfer. It also looks at whether the transfer was disclosed or concealed (Fla. Stat. § 726.105). Talk with your lawyer before any transfer of assets during a dispute.

Privilege also has limits when a lawyer-client conversation is used to aid a crime or fraud. Florida’s evidence code states this exception directly. Under Fla. Stat. § 90.502(4)(a), there is no lawyer-client privilege when the lawyer’s services were sought or obtained to enable or aid anyone to commit or plan to commit what the client knew was a crime or fraud. Your lawyer will explain how these limits apply to your facts.

Preparing for the First Conversation and Talking With KEW Legal

Bring your documents and a written timeline to your first meeting.
