Removing the ownership stake itself is a separate question with separate rules. In Florida, the business type and its governing documents usually decide the answer.

Short answer: ownership and employment are separate questions

“Fired” can mean three different things. It can mean losing a job, losing a board or officer role, or losing the ownership stake. Each one follows its own rules.

An owner can hold shares, a title, and a paycheck at the same time. Each can be handled on its own. The business structure also matters. It does not automatically control every role inside the company.

Votes happen through meetings or written actions. The company’s governing documents set the steps. A majority owner is still bound by those steps. Skipping notice or a required vote can lead to a later dispute.

Can a minority owner remove a majority owner? That depends on the entity type and the agreements in place. Florida allows shareholder agreements to set how directors and officers are chosen and removed. Florida’s shareholder agreement statute covers that. One signed document can change the answer.

Can a board remove an owner from a company role?

Yes, in a Florida corporation, the board can remove an officer at any time. The officer can be removed with or without cause. Fla. Stat. 607.0842 also says who else can remove an officer, and that depends on the bylaws. An officer can resign by written notice. The notice can set a later effective date.

LLCs follow different rules. Under Fla. Stat. 605.0105, the operating agreement governs relations among members and the company. The LLC chapter fills gaps the agreement leaves open.

Management structure matters too. Under LLC management rules, a member-managed LLC is run by its members. A manager-managed LLC is run by its managers.

A board action taken without the required steps can be challenged. Gather the minutes, written consents, and bylaws first.

Who has the power to fire a CEO, and does an owner control it?

A CEO is often an officer of the corporation. That means the officer-removal rules usually apply. The bylaws can change who acts for the company, so check them first.

An owner’s influence over the CEO often runs through the board. It can also run through a shareholder agreement. Fla. Stat. 607.0732 says a shareholder agreement may set who will be directors or officers. It can also set their terms and how they are selected or removed.

When one person is both owner and CEO, removing the CEO title is a different question from the ownership stake. A written employment contract may also set its own termination terms. Those terms can apply even when the board acts. Read it before any vote.

Can an owner-employee be fired from the job?

An owner-employee can be let go from the job. The way it happens may be limited, though. A written employment or buy-sell agreement can set terms for ending the job, and those terms control.

Florida law makes it unlawful for an employer to discharge someone because of race, color, religion, sex, pregnancy, national origin, age, handicap, or marital status. Fla. Stat. 760.10 sets out those rules. Whether those laws cover an owner-employee depends on the facts.

Retaliation is a separate issue. The same statute bars punishing someone who opposed an unlawful practice or filed a charge.

A complaint with the state commission can be filed within 365 days of the alleged violation. See Fla. Stat. 760.11.

Under Florida’s Private Whistleblower Act (Fla. Stat. § 448.102), the written-notice and reasonable-chance-to-correct step applies only when an employee discloses, or threatens to disclose, a violation to a government agency. It does not apply to retaliation for participating in an investigation or for objecting to or refusing to take part in a violation. For the employer side, see our employment law page.

What limits removal of an owner?

The main limits come from written documents. These include the articles, bylaws, operating agreement, shareholder agreement, buy-sell terms, and any employment contract.

Share transfer restrictions also matter. Under Fla. Stat. 607.0627, the articles, bylaws, or a shareholder agreement may require a shareholder to offer shares to others first. They may also require the company or others to buy them.

Skipping a notice, vote, valuation, or buyout step can create a later dispute. Shareholder dissolution cases also carry a deadline. Under Fla. Stat. 607.1436, the company or other shareholders can elect to buy the petitioning shareholder’s shares at fair value. That election can be filed within 90 days after the petition, unless the court allows more time.

A partner or vendor dispute can overlap with an owner removal. Contract terms may decide who is owed what. A removal can touch several disputes at once.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Documents to gather before deciding anything

Gather your governing documents and records before you respond to a notice or make a decision.
