Wilson · Published October 28, 2026

An LLC profit distribution dispute is a disagreement over whether, when, and how much profit an LLC pays its owners. In Florida, the operating agreement sets most of the rules, and Chapter 605 of the Florida Statutes fills the gaps. KEW Legal works as an LLC profit distribution dispute attorney in Florida for business owners and investors in Miami-Dade, Broward, and South Florida. This page explains how these disputes start, what the law says, and what options you may have.

What an LLC Profit Distribution Dispute Is and Who It Affects

A distribution dispute starts when an owner believes a profit payment is missing, late, or unfair. A distribution is a payment from the company to its owners out of profit or company cash.

This issue often affects:

Non-managing members, who have little say over cash decisions.

Minority owners, whose share is small next to the manager’s.

Co-owners with unequal roles, where one partner runs day-to-day operations.

Investors who expected regular payouts and received none.

Distributions are not the same as pay for work or reimbursements. Pay for work goes to someone for services. A reimbursement repays money an owner spent for the company. Keeping these apart shows which payment you’re actually owed.

Florida law doesn’t give a member an automatic payout. Under Fla. Stat. § 605.0404, a member has a right to a distribution before dissolution only if the company decides to make an interim distribution.

If your LLC has stopped paying your share of profits, our team can review your operating agreement and records with you and explain your options. An LLC may not make a distribution if, afterward, it could not pay its debts as they come due. Fla. Stat. § 605.0405 also bars a payout that would leave total assets below total liabilities, plus what is needed for preferred claims if the company dissolved.

What a Distribution Dispute Matter Includes

A distribution dispute matter starts with the paperwork and works toward a written accounting, a payment plan, or a fix to the governance terms.

Document review. We review the articles of organization, the operating agreement, amendments, and side agreements that touch payouts.

Public filings. The Florida Division of Corporations, known as Sunbiz, publishes filing records for Florida businesses.

Records demands. We prepare written requests for financial statements, bank records, and tax returns. In a member-managed LLC, a member may inspect and copy records on reasonable notice under Fla. The early ones set the pace.

First consultation. The first consultation is free, confidential, and carries no obligation to continue. We review the facts and the governing documents with you.

Document collection. You gather the operating agreement, bank statements, and any written decisions or messages about payouts.

Written demand. We send a demand for records and an accounting, with a deadline to respond. If the company refuses inspection, a circuit court may summarily order it. It is an LLC profit distribution dispute attorney team that also handles related owner issues.

The firm acts as outside general counsel for business owners and investors. That means we handle a company’s legal questions over time, not just one dispute. The firm’s lawyers concentrate in business and commercial matters, including partnership disputes, business contracts and vendor disputes, employment issues for employers, succession planning, commercial leases, and real estate investment. Because one owner dispute often touches several of these, related issues can be reviewed together.

Kristina E. Wilson is the responsible lawyer for this page. Natalie Martinez is also one of the firm’s lawyers.
