Wilson · Published October 27, 2026

If a business partner signed a contract without your consent, the company may or may not be bound. The answer usually turns on who had authority under your governing documents, what the other side knew, and how the business acted after learning of the deal. This page explains how Florida law frames those questions, what options owners typically have, and what to gather before you call. KEW Legal acts as outside general counsel for business owners and investors in Miami-Dade, Broward County, and across South Florida.

What It Means When a Partner Signs a Contract Without Your Consent

A partner signs without consent when a deal binds the company without the approval the company’s rules require. The signature alone does not settle whether the business is bound.

Common examples include:

Vendor and service contracts

Commercial leases

Equipment financing and loans

Large purchase orders

Sale agreements for company assets

This page is written for LLC members, general and limited partners, and co-owners in Miami-Dade, Broward County, and nearby South Florida communities. Many owners learn about the deal from an invoice, a landlord’s letter, or a bank notice. By then, the other side may already be relying on the signature.

Two questions decide most of these disputes. Did the partner have authority to sign? And did the other party know, or have notice, that the partner lacked it? The answers come from your governing documents and Florida’s business statutes.

If a partner signed a deal for your company that you never approved, you may have options worth reviewing now, and we're glad to talk it through.
