Wilson · Published October 27, 2026

When a partner refuses a capital call, the business can run short on payroll, rent, or vendor bills. Under Florida law, the answer starts with the company’s signed agreement. A Florida lawyer reviews that document first, then the notices and the company’s records. Kristina E. Wilson is the lawyer responsible for this page. KEW Legal has offices in Coral Gables and Sunny Isles Beach.

What a capital call is and when a refusal becomes a dispute

A capital call is a written demand that owners put money into the company. Companies use them for payroll, rent, a lease obligation, repairs, or a planned expense. Each owner usually pays a share set by the agreement.

The duty to pay comes from the agreement. Under Florida’s LLC law, a promise to contribute to the limited liability company, whether money or other property, is enforceable only if it is set out in a writing signed by the member (Fla. Stat. § 605.0403).

A missed payment and an outright refusal are different. A missed payment may be a timing problem. A refusal means the owner has said, by words or conduct, that the money won’t come. Either way, the owners who did fund carry more than their share.

Many disputes are about the need, too. The non-funding owner may say the call was improper, the amount is wrong, or the money wasn’t needed. Those questions turn on the notice, the agreement, and the records.

If your co-owner has stopped funding a required contribution, you don't have to sort it out alone. Notices and document review matter when the owner is far from daily operations.

What the representation covers

The work starts with the governing agreement, the notices, and the company’s records. Then it moves to a written demand and a plan for funding.

Reviewing the operating agreement or partnership agreement for contribution, capital call, notice, default, and dilution terms.

Checking capital accounts, prior contributions, and bank records to confirm what is owed.

Preparing a formal demand that states the amount, the due date, and the agreement sections relied on.

Evaluating remedies such as negotiated funding terms, mediation, or a lawsuit to enforce the agreement or seek an accounting.

Advising on interim steps, such as documented member loans and limits on decisions while the dispute is open.

Serving as outside general counsel on related contract, lease, and employee questions, so daily business issues keep moving.

How the process works, step by step

Most matters move from document review to a written demand, then negotiation. Court comes last, only if needed.

Initial review. We read the capital call notice and the governing agreement together.

Document summary. We list the owner’s obligations, deadlines, and the consequences the agreement sets for non-funding.

Formal demand. For a notice or demand on the company under Florida’s LLC statute, the law allows delivery to a member of a member-managed company, a manager of a manager-managed company, the registered agent at the registered office, or the company’s actual principal office in Florida, and other methods allowed by law still apply (Fla. We then ask for the owner’s position in writing.

Negotiation or mediation. Options include payment plans, adjusted contribution terms, or a buyout talk where the agreement allows one. A court must refer a filed money damages case to mediation when one party asks, if that party is willing and able to pay the mediation costs or the costs can be equitably divided between the parties, unless an exception applies (Fla. Stat. § 44.102).

A case must be brought only in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located; this venue rule does not apply to actions against nonresidents (Fla. Florida law fills in what the agreement leaves out.

Penalties. An LLC agreement may reduce or eliminate a defaulting member’s interest, force a sale, or forfeit the interest.

Specified consequences. An operating agreement may set penalties if a member fails to follow its terms (Fla.
