These fights often start small. A promise made in the early days becomes a serious problem once the company earns money or brings in an investor.

This page is for co-founders, LLC members, and corporate shareholders in Miami-Dade, Broward, and South Florida. It fits equal partners, majority and minority owners, and founders whose written agreement is missing, outdated, or unclear.

Your company’s documents come first. In an LLC, that is usually the operating agreement. In a corporation, it may be a shareholder agreement or a stock purchase agreement. When those documents stay silent, Florida law fills the gap. Under Florida’s LLC Act (Chapter 605), the operating agreement governs the matters it addresses, and where the operating agreement does not otherwise provide for a matter it covers, the chapter governs that matter.

Many founders assume a handshake deal settles the matter. Often, the paper in your company’s files decides it.

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. Most of these fights come from a gap between what was said and what was written.

Common triggers include:

Founder percentages that were never written down

Equity promised in conversation but never documented

Unvested shares, which are earned over time

Dilution when new investors receive shares

Disagreement over the value of cash, intellectual property, or work contributed

Vesting means a founder earns shares on a set schedule. A vesting cliff means no shares are earned until a set date. Disputes often start when a founder cuts back to part-time and the others disagree about how much equity that founder has earned.

Verbal promises carry real risk. Florida’s Third District Court of Appeal, which covers Miami-Dade, has said an enforceable contract needs a meeting of the minds on every essential term. When essential terms are still being negotiated, there may be no binding deal. Sandalwood 7160 LLC v. Estevez states that rule.

Gather these records before you talk to the other side: your operating or shareholder agreement, stock purchase or subscription records, capital account statements, cap table history, and emails about equity. What a court or your co-founders will do depends on the documents and conduct involved. No outcome can be promised before those records are reviewed.

Roles, Authority and Deadlock Between Founders

Roles depend on how your company is set up. When your documents are silent, Florida law supplies default rules. An LLC is member-managed unless its documents say it is manager-managed. Unless the operating agreement or articles of organization provide otherwise, a Florida LLC is member-managed, and management and conduct of the company are vested in its members.

Voting also follows default rules. Under Fla. Stat. § 605.04073, in a member-managed LLC each vote follows the member’s percentage interest in profits. In a manager-managed LLC, a majority-in-interest of members is required to undertake an act outside the ordinary course of the company’s activities and affairs, while managers decide other company matters. The operating agreement can be amended only with the consent of all members.

Common role fights involve who signs contracts, who controls banking and payroll, who hires and fires, and who sets strategy.

Deadlock is the hardest case. A 50/50 company can stall when two founders split on every vote. Under Fla. Stat. § 605.0702, a deadlock sale provision in an LLC’s operating agreement can apply instead of dissolution only if the managers or members are deadlocked, the members cannot break the deadlock, irreparable injury to the company is threatened or being suffered, the provision was initiated before the court determines that grounds for dissolution exist, and the provision is then initiated and effectuated in accordance with its terms or otherwise pursuant to an agreement of the members.

For corporations, Fla. Stat. § 607.1430 allows a court, in a proceeding by a shareholder, to dissolve a corporation when the directors are deadlocked, the shareholders are unable to break the deadlock, and irreparable injury to the corporation is threatened or the business can no longer be run to the shareholders’ advantage. However, if the shareholders have a shareholder agreement that complies with s. 607.0732 and contains a deadlock sale provision, that provision governs how the deadlock is resolved instead of a court dissolution order, as long as it is started and carried out within the time periods set for the corporation to act under s. 607.1436 and according to its terms. This rule does not apply to certain publicly traded or widely held corporations. A court may also choose other remedies.

A shareholder agreement can set up a fix in advance. Fla. Stat. § 607.0732 allows a compliant agreement to include a deadlock-breaking mechanism.

Before a conflict grows, stop unilateral moves on major decisions. Keep records of who decided what, and put decisions in writing.

Exit Disagreements: Buyouts, Valuation and Departure Terms

When a founder leaves, the governing agreement usually decides the price and the process. Read it before you accept an offer or sign a notice.

Exit fights often center on:

Whether a founder must sell at all

How the company is valued and who picks the method

Payment timing and terms

Whether the departure is voluntary, for cause, or after a breach

Notice requirements and deadlines

Buy-sell terms, rights of first refusal, drag-along rights, and tag-along rights each change what a departing founder can do. Check how each one works in your documents.

Florida’s LLC statute treats early withdrawal seriously. Under Fla. Stat. § 605.0601, a member who withdraws by express will before the company finishes winding up can be wrongfully dissociated. That member may owe the company and other members damages.

A departing member may still request information. Under Fla. Stat. § 605.0410, a dissociated person may request access to information from the period of membership, subject to the statute’s conditions.

Non-compete terms need care. Under Fla. Stat. § 542.335, a court will not enforce a restrictive covenant unless it is in a writing signed by the person being restricted. The party seeking enforcement must also prove a legitimate business interest.

How a Co-Founder Dispute Is Handled, Step by Step

A co-founder dispute usually moves through five steps, from a first talk to a possible court case. Timing varies by case, and each step depends on your documents.

Step 1: First consultation. You describe the dispute, the other founders, and the documents you have. We explain what we can and cannot help with.

Step 2: Document review. We read the operating or shareholder agreement, founder agreements, equity records, and relevant emails and messages.

Step 3: Options. We outline choices such as a written demand, a negotiated buyout, a change in roles, or new voting terms. You decide which path to pursue.

Step 4: Negotiation or mediation. Many co-founders reach written terms without a court case. We draft terms for signature once both sides agree.

Step 5: Formal proceedings. If negotiation fails, the matter may go to a Florida court. Deadlines matter here. Florida’s limitations statute, § 95.11, sets time limits that differ by type of claim, so waiting can narrow your options.

If a matter belongs with another lawyer or firm, we will say so at the start.

Why Co-Founders Work With KEW Legal

KEW Legal is a Florida business law firm that works with business owners and investors as outside general counsel.
