Wilson · Published October 15, 2026

When an employee quit and took clients, the business usually has legal options, but not every lost client means a legal wrong. What happens next depends on signed agreements, the information the employee used, and how the clients were approached. This page explains the main Florida tools and the steps to take first. KEW Legal is a Florida business law firm based in Coral Gables and Sunny Isles Beach. It acts as outside general counsel for business owners and investors across Miami-Dade and South Florida.

What Does It Mean When an Employee Quit and Took Clients?

Customer poaching is when a current or former employee moves a company’s customers to a new business or to themselves. Not every departure fits that label. A client who decides to follow a former employee is different from a client who was approached while the employee still owed the company loyalty.

Several facts usually decide which situation you’re in:

The written agreements the employee signed

Whether the employee used customer lists, pricing or pipeline data

Whether the contacts began before or after the employee left

How the employee left, and what they took with them

This guide is written for owners, managers and co-owners of businesses in Miami-Dade County, Coral Gables, Aventura and Sunny Isles Beach. In a closely held company, the person who left and took clients with them may be not only an employee but also a business partner or a family member.

If an employee quit and took clients you built, you don't have to sort out the next steps alone, and we can talk through them with you. Stat. § 542.335, a court shall not enforce a restrictive covenant unless it is in a writing signed by the person against whom enforcement is sought. The party seeking enforcement must also prove a legitimate business interest. A restraint without one is void and unenforceable. If a restraint is overbroad or overlong, the court shall modify it and grant only the relief reasonably necessary.

Trade secrets. Under Fla. The owner must also make reasonable efforts to keep it secret. Customer information may qualify, but only if it meets that test. An action for misappropriation must be brought within 3 years after it is discovered, or should have been discovered with reasonable diligence, under Fla. Stat. § 542.45 sets separate rules for covered noncompete agreements, and whether an employee is a covered employee depends on an earnings threshold tied to county mean wage, statutory exclusions, and where the employer or employee is located. Among other conditions, the employee must have been advised in writing of the right to seek counsel before signing.

Duty of loyalty. If the person who left was a member of a member-managed Florida LLC or a manager of a manager-managed Florida LLC, § 605.04091 imposes duties of loyalty and care on that person. The section does not impose these duties on an employee who holds neither role, and in a manager-managed LLC a member does not owe them merely by being a member (§ 605.04091(6)). The duty of loyalty includes refraining from competing with the company before dissolution, under Fla. Stat. § 605.04091.

Florida statutes, case law, and the terms of the contract all bear on these agreements. Enforceability turns on exact wording and facts, and no result can be predicted from general information.

Can an Employer Fire an Employee for Taking Clients?

An employer can act on misconduct, but the way it acts shapes what comes next. Start by documenting what happened: dates, messages, and which clients were contacted and by whom. Then review the signed agreements before any termination letter or demand goes out.

Timing and wording matter. A termination notice or a message to clients can later be read as evidence of what the company knew and said. Keep statements factual and short.

Claims need a solid footing too. Under Fla. Stat. § 57.105(1), if the court finds that a losing party or that party’s lawyer was or should have been aware that a claim or defense, when initially presented to the court or at any time before trial, lacked the material facts needed to establish it or would not be supported by then-existing law applied to those facts, the court must award a reasonable attorney’s fee to the prevailing party, paid in equal amounts by the losing party and its attorney. Among other limits, § 57.105(3) bars monetary sanctions under paragraph (1)(b) for a good-faith argument to extend, modify or reverse existing law, and § 57.105(4) provides that a party’s motion may not be filed unless the challenged claim or defense is not withdrawn or appropriately corrected within 21 days after the motion is served. Under Fla. Stat. § 57.105(7), if a contract allows attorney’s fees to a party that must take action to enforce it, the court may also allow reasonable attorney’s fees to the other party if that party prevails.

Return of company files, devices and property should be part of the same review.

Can an Employee Tell Clients They Are Leaving?

Saying you have left is different from using company information to win business. That line matters most. An employee who announces a new role is in a different position than one who uses the employer’s customer list, pricing or confidential plans to pull accounts.

The company side needs the same care. Messages to clients should be short, accurate and free of accusations. A message that criticizes a former employee or overstates the facts can create its own problem. Have drafts reviewed before they go out.

These questions depend on the facts. The same words can mean different things depending on the contract, the timing and the records. A careful review of those items comes before any message is sent.

What Should a Business Do in the First Days?

In the first days, focus on preserving records, limiting access and writing down what happened. Don’t wait to see whether the problem goes away.

Preserve evidence. Keep emails, CRM entries, customer lists, calendar entries, texts and access logs.

Pull the paperwork. Gather signed agreements, handbook acknowledgments, and any commission or equity terms.

Limit access. Restrict the former employee’s logins, and secure devices and files.

Track affected clients. Note which clients were contacted, when, by whom, and any revenue changes tied to specific accounts.

Stay quiet publicly. Avoid social media posts, public accusations and direct confrontations until the facts are reviewed.

Don’t access the former employee’s personal accounts. That step can create new problems of its own.

How Does a Consultation With KEW Legal Work?

A consultation starts with the timeline, the documents and your business goals. The lawyer then identifies the legal tools that may apply.

Intake. You describe what happened, who was involved and when.

Document review. Agreements, communications and client records are reviewed.

Options. These may include a demand letter, a negotiated resolution or court action. No single path is required.

Decision. You decide what to do next, with the facts in front of you.

KEW Legal acts as outside general counsel for business owners and investors across Miami-Dade and South Florida.
