The owners may hold a general partnership, a limited partnership, or an LLC. Brickell businesses often mix professional services, investment work, and co-owned property, and each mix can create its own friction.

Common disputes include:

Deadlocks on major decisions, where owners cannot agree and no one can break the tie.

Disagreements over capital calls, distributions, or compensation.

One owner shut out of management, bank access, or company records.

A co-owner who starts a competing business.

Each situation depends on the documents and the facts. A dispute that looks simple from one side may turn on a single clause. Read the agreement closely before you assume what it says.

Why the Operating Agreement and Your Records Come First

The operating agreement or partnership agreement usually decides ownership, voting, buyouts, and dissolution before default rules apply. For an LLC, Florida’s LLC operating agreement statute says the agreement governs relations among members and between members and the company. Default rules generally apply where the operating agreement does not address a matter, except for statutory provisions that an operating agreement cannot vary.

Gather these records before you send any demand:

The signed agreement and every amendment

Capital contribution and capital account records

Bank statements and tax filings

Emails, texts, and written consents about major decisions

Filings with the Florida Division of Corporations (Sunbiz)

Dated records matter because a co-owner may dispute what was agreed and when. A clear timeline shows what the agreement said and what each owner did. Records also carry rights. Under Florida’s LLC records statute, a member of a member-managed LLC may inspect and copy company records that are material to the member’s rights and duties, during regular business hours at a reasonable location the company specifies, subject to reasonable restrictions.

Florida Law Points Co-Owners Should Know

Florida uses different statutes for LLCs and partnerships, so your entity type matters. Under Fla. Stat. § 620.8103, relations among partners and between partners and a partnership are governed by the partnership agreement, and to the extent the partnership agreement does not otherwise provide, this act governs them. Check which one your business is before you rely on any rule.

Under Florida’s partnership act, a partner’s fiduciary duties are limited to loyalty and care. A partner also owes a separate obligation of good faith and fair dealing. The duty of care covers refraining from grossly negligent or reckless conduct, intentional misconduct, or a knowing violation of law, under Florida’s partner conduct statute. A partner does not violate a duty just because the conduct also helps that partner’s own interest.

An LLC member may bring a direct action against another member, a manager, or the company. The member must plead and prove an injury that is not solely the company’s injury. A breach of a separate duty owed to the member also qualifies, under Florida’s LLC direct action statute. These are general points. Outcomes depend on the agreement and the facts.

Early Steps Before a Partnership Dispute Escalates

The first steps are usually written notice, a close reading of the agreement, and a written proposal to resolve the issue. Put the disagreement in writing so it has a date and a clear subject. Quote the clause that applies. Then propose a path, such as a buyout, a restructuring, or a short cooling-off period.

Check the agreement for a deadlock sale provision. Under Florida’s LLC judicial dissolution statute, a deadlock sale provision started before a court finds grounds for dissolution can resolve the deadlock. It must be carried out under its own terms.

Timing matters in buyouts. When a partner’s dissociation does not result in dissolution and winding up of the partnership, the partner’s action to set the buyout price must be started within 120 days after the partnership offers payment. If no payment or offer is made, the window is 1 year after written demand, under Florida’s buyout statute. In a judicial dissolution proceeding brought under Fla. Stat. § 605.0702(1)(b), the company may elect to buy the petitioner’s interest at fair value, and other members may elect to do so only if the company does not, within the time set by § 605.0706. That election may be filed within 90 days after the petition, under Florida’s election to purchase statute.

Mediation can also come up. On one party’s request, a Florida court must refer a filed civil action for money damages to mediation. Some exceptions apply, and the requesting party must be able to pay or share the costs, under Florida’s court-ordered mediation statute.

Avoid informal moves that can weaken your position. Changing bank signers or removing a co-owner outside the agreement’s procedure can create new disputes.

Co-Owned Investment Property and Commercial Leases in Brickell

A co-owner dispute over investment property can start when only one owner signs a lease or loan. It can also start over rent, repairs, or who may occupy a unit. These questions tie back to the entity’s documents, so the same records and steps apply.

KEW Legal’s real estate investment and commercial lease work covers these questions as part of its business law practice. The firm also handles commercial evictions for owners who live abroad. Each matter is reviewed on its own facts. No result is implied by describing the work.

A co-owner dispute can overlap with a vendor problem. An unpaid invoice for a building repair is one example. When that happens, the partnership issue and the contract issue may need to be handled together.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

How KEW Legal Works With Co-Owners as Outside General Counsel

KEW Legal focuses on business law for owners and investors across Miami-Dade and South Florida.
