The paper trail usually decides a lot in every pattern.

Unpaid invoices. A business may think the work was incomplete. The vendor may think the bill is due. Both sides need to see what was agreed and what was delivered.

Late, partial, or wrong deliveries. Goods that arrive late, short, or different from the order raise questions about scope and acceptance. Whether the buyer already accepted the goods can change the next steps.

Termination notices and auto-renewals. One side may say the contract renewed. The other may say notice was never properly given. The notice clause often controls that argument.

Deals that started in texts or calls. Verbal promises are hard to prove. Some agreements also need a signed written record to be enforced.

Under Florida’s statute of frauds for the sale of goods, a contract for the sale of goods for the price of $500 or more is not enforceable by way of action or defense unless there is a sufficient record, signed by the party against whom enforcement is sought or by that party’s authorized agent or broker, indicating that a contract for sale was made between the parties. Service contracts generally follow broader contract rules. Which set applies changes the first questions a lawyer asks. No one can say in advance how a given dispute will end.

First Steps in the First Days After a Vendor Dispute Starts

Start by collecting every record of the deal before anyone argues about it. Gather the signed agreement, amendments, purchase orders, invoices, delivery receipts, and written messages. Don’t delete emails, texts, or messaging app history, even the messages that seem minor.

Avoid written admissions or new promises until the contract has been reviewed. Write down key dates. Note when payments were due, when notices were sent, and any cure period. A cure period is the time the contract gives a party to fix a problem.

Florida’s general time limits for lawsuits sit in Fla. Stat. § 95.11. The clock does not start on the day the first problem appears. Under Fla. Stat. § 95.031, a cause of action accrues when the last element of the claim occurs.

How the Contract Language Shapes a Vendor Dispute

Contract wording often decides where a dispute goes and how it must start. Read the governing law, venue, notice, cure, fee, and dispute resolution clauses first.

Venue. Under Fla. Stat. § 47.011, actions must be brought in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located. That section does not apply to actions against nonresidents.

Arbitration. Under Fla. Stat. § 682.02, a written agreement to arbitrate existing or future disputes is generally valid and enforceable. Section 2 of the Federal Arbitration Act provides that a written provision in any maritime transaction or a contract evidencing a transaction involving commerce to settle by arbitration a controversy arising from that contract or transaction is valid, irrevocable, and enforceable, save upon such grounds as exist at law or in equity for the revocation of any contract.

Notice for goods. A buyer that accepts goods must notify the seller of a breach within a reasonable time. Otherwise the buyer may be barred from remedies, under Fla. Stat. § 672.607.

Attorney’s fees. If a contract lets one party recover fees for enforcing it, the court may allow fees to the other side when that side prevails. Fla. Stat. § 57.105 covers contracts entered into on or after October 1, 1988.

Each contract reads differently based on the rest of the agreement. One clause should not be read alone.

Options Before Litigation: Negotiation, Demand Letters, and Mediation

Some vendor disputes move through written demands, negotiation, or mediation before anyone files a lawsuit. A demand letter states the contract basis, what went wrong, and the cure requested. Negotiation may lead to a payment plan, a scope change, or agreed exit terms.

Mediation can also come through the court. Under Fla. Stat. § 44.102, a court must refer many filed actions for money damages to mediation when one party asks. Exceptions apply, including actions filed to collect a debt. Some contracts also require mediation or arbitration first.

If an arbitration on the same dispute is pending, the time limit can pause. Under Fla. Stat. § 95.051, a pending arbitral proceeding tolls the limitations period. Whether to file a lawsuit is a decision made after the documents and facts are reviewed.

Outside General Counsel for Ongoing Vendor and Contract Work

Outside general counsel means a lawyer handles a business’s legal work on an ongoing basis, not only when a dispute arrives. For vendor work, that can include contract review before signing. It can also include drafting and reviewing terms for renewals, amendments, and termination notices.

Some counsel work also covers contract language that affects future disputes. This page describes the scope of those services. It does not describe response times or how quickly a matter will be handled.

Before a dispute is documented, confirm the vendor’s legal name and status. The Florida Division of Corporations (Sunbiz) publishes official registration and status information for Florida business entities.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Free First Consultation for Brickell Business Owners

The initial consultation is free, confidential, and carries no obligation to continue.
