It does change who owns it, who runs it, and who owes what. Under Florida law, a partner is dissociated when the partnership learns of that partner’s express will to withdraw, or when another listed event happens. This guide explains partner dissociation in plain terms, so you can understand your position before you decide anything. KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. It acts as outside general counsel for business owners and investors across Miami-Dade and South Florida. Kristina E. Wilson is the responsible lawyer for this page.

What Partner Dissociation Means Under Florida Law

Partner dissociation means one partner stops being a partner in the partnership. It is not the same as dissolution, which is when the business itself winds up. Under Fla. Stat. § 620.8601, a partner is dissociated from a partnership upon the occurrence of certain listed events, including the partnership receiving notice of the partner’s express will to withdraw. The events that cause a partner to leave are listed in Fla. Stat. § 620.8601.

Your entity type decides which rules apply. A partnership follows Chapter 620. An LLC follows the Florida Revised LLC Act in Chapter 605 and its operating agreement. Sunbiz, the Florida Division of Corporations, publishes the official filing and status requirements for Florida business entities. Confirm the entity type first, before you read any other rule.

This guide is written for three kinds of readers. One is a partner thinking about leaving. Another is a remaining partner deciding what happens next. The third is someone helping a co-owner or family member through the process.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Events That Cause a Partner to Dissociate

A partner dissociates when the partnership has notice of that partner’s express will to withdraw. Other listed events also cause dissociation, and some happen without the partner’s choice. Under Fla. Stat. § 620.8601, the main triggers include:

Notice of the partner’s express will to withdraw, effective right away or on a later date the partner names.

An event the partnership agreement says causes dissociation.

Fla. Stat. § 620.8601 lists the events upon the occurrence of which a partner is dissociated from a partnership. These include the partner’s expulsion pursuant to the partnership agreement and, on application by the partnership or another partner, the partner’s expulsion by judicial determination because (a) the partner engaged in wrongful conduct that adversely and materially affected the partnership business, (b) the partner willfully or persistently committed a material breach of the partnership agreement or of a duty owed to the partnership or the other partners under s. 620.8404, or (c) the partner engaged in conduct relating to the partnership business which makes it not reasonably practicable to carry on the business in partnership with the partner.

Bankruptcy, an assignment for the benefit of creditors, or seeking, consenting to, or acquiescing in the appointment of a trustee, receiver, or liquidator.

The death of an individual partner, the appointment of a guardian, or a court finding that the partner cannot perform the duties.

Because a partner’s death (for an individual partner) or bankruptcy can trigger dissociation, a partner may not have chosen to leave. The date of the triggering event matters. Under Fla. Stat. § 620.8603, a dissociated partner’s right to take part in management ends, except as otherwise provided in s. 620.8803. Write the date down.

Rightful Versus Wrongful Dissociation

A partner has the power to leave at any time, rightfully or wrongfully. Under Fla. Stat. § 620.8602, a departure is wrongful only in certain cases. It is wrongful if it breaks an express term of the partnership agreement. It is also wrongful if a partner leaves before a definite term ends or a specific project is finished, unless a statutory exception applies.

The label matters. A partner who dissociates wrongfully is liable to the partnership and the other partners for damages caused by the departure. That liability adds to any other obligation the partner owes.

Disputes often center on three questions. Was the notice proper? Was a term still running? How are the losses measured? Expect these questions to shape any negotiation. A written timeline helps sort them out early.

What Happens to the Departing Partner’s Interest

When a partner leaves and the business keeps going, Florida law provides that, if the departure does not result in dissolution and winding up, ss. 620.8701-620.8705 apply, and those sections, not the dissolution provisions, govern what follows for the departing partner’s interest under § 620.8603(1). If it does, ss. 620.8801-620.8807 apply instead. The price is called the buyout price.

Two offsets matter. Payment timing matters too.

The partnership agreement governs relations among partners, except where the statute provides otherwise. Review the valuation method, appraiser selection, and capital account terms in the partnership agreement closely, since that agreement generally governs relations among partners and between partners and the partnership. These details can change the final number.

Obligations That Continue After a Partner Leaves

Under Fla. Stat. § 620.8306, except as otherwise provided in subsections (2) and (3), all partners are liable jointly and severally for all obligations of the partnership unless otherwise agreed by a claimant or provided by law.

Notice matters, too. Prompt notice of a partner’s departure to vendors, landlords, and lenders is a practical step to consider.

Restrictive covenants need care. A court will not enforce a non-compete unless it is in a writing signed by the person against whom enforcement is sought. Under Fla. Stat. § 542.335, the restraint must be reasonable in time, area, and line of business, and the person seeking enforcement must prove a legitimate business interest that justifies it; without one, the covenant is void and unenforceable. An overbroad restraint may be modified.

Personal promises to pay a lender or landlord are separate contracts. Check whether each one ends when a partner leaves. Ask for a written release where the other side agrees to give one.

How a Partner Dissociation Matter Typically Proceeds

Most matters move through five steps: document review, notice, negotiation, a written agreement, and updated records. Timelines vary with the agreement’s complexity and whether the other side engages.

Gather the documents. Collect the partnership or operating agreement, amendments, capital account records, and recent financial statements.

Identify the trigger. Pin down the event, its date, and whether the departure was rightful or wrongful.

Send or answer written notices. Document every communication about the departure.

Negotiate. Work through the buyout, valuation, payment schedule, releases, and personal pledge terms. Under Third District law, which covers Miami-Dade, a contract requires a meeting of the minds on all essential terms. A deal still open on essential terms may not yet be enforceable, as this Third District opinion explains.

Finalize and update records. Put the final agreement in writing, update filings where required through Sunbiz, and notify third parties. If talks fail, mediation or litigation may follow.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Documents to Bring to a First Consultation

Bring the governing documents first.
