Wilson · Published October 27, 2026

A minority shareholder dispute attorney in Florida helps owners with less than a controlling share protect their rights when the majority shuts them out. Florida’s corporation law gives minority owners real tools: records access, court relief and a buyout process. This guide explains how those tools work. KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. It works as outside general counsel for business owners and investors across Miami-Dade and South Florida.

What a Minority Shareholder Dispute Is and Who It Affects

A minority shareholder dispute is a conflict between an owner with less than a controlling share and the owner or board that runs the company. It often starts when one owner feels cut out of decisions, pay, or information.

These disputes happen most often in closely held corporations, which are usually family or founder-run. Their shares have no public market, so an owner who wants out often has no easy exit.

People who reach out usually fit one of these patterns:

A co-owner removed from management or the board.

A shareholder whose distributions stopped while the majority still takes money out.

A family member acting for an owner who can’t handle the matter directly.

Your articles, bylaws and any shareholder agreement control many questions. This page covers corporations only.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

What Rights Minority Shareholders Have Under Florida Law

Florida gives minority shareholders several core rights, and each one comes with specific rules.

A shareholder can inspect and copy corporate records at the principal office during regular business hours, except board and board committee minutes and records of actions taken without a meeting, which require a good-faith demand for a proper purpose. Written notice must come at least 5 business days ahead (Fla. Stat. § 607.1602).

Broader records need a proper purpose. Accounting records and other books require a good-faith demand for a proper purpose. The records must be directly tied to that purpose. Articles and bylaws cannot limit this right (Fla. Stat. § 607.1602).

For the basic records, the court must also order the corporation to pay reasonable attorney fees (Fla. Stat. § 607.1604).

Distributions. Florida limits when a company can pay its shareholders. One test looks at whether total assets would be less than total liabilities plus, unless the articles permit otherwise, the amount needed to satisfy superior preferential rights on dissolution, after the payment (Fla. Stat. § 607.06401).

Judicial dissolution. In limited cases, a shareholder may ask a court to dissolve the company.

A shareholder agreement can change many of these default rules. A shareholder agreement that meets the statutory requirements can address distribution terms, director and officer selection, and a deadlock-breaking mechanism. Read it early.

Common Triggers: Self-Dealing, Freeze-Outs and Deadlock

The most common triggers are self-dealing, freeze-outs, dilution and blocked access to information.

Self-dealing. The controlling owner pays a company they own, leases property to the business on bad terms, or takes pay far above the others. If a director’s deal is disclosed and approved by a majority of qualified directors or disinterested shareholders, the challenger must prove it was unfair (Fla. Stat. § 607.0832).

Freeze-out. The majority removes the minority owner from pay, management or distributions while still taking money out. The goal is often to force a low-price sale.

Dilution. New shares go to favored owners, shrinking a minority stake.

Blocked information. Bank statements or accounting records go unanswered after requests.

Deadlock. A 50/50 split leaves owners unable to agree on major decisions.

The costly mistake is waiting. Owners often try to keep the peace while records and pay disappear. Florida courts can treat a voidable contract as ratified when the party who could undo it fails to act after learning the facts. That rule is not automatic, but delay can hurt (Flaherty v. Flaherty).

Options Before Court: Negotiation, Mediation and Litigation

A dispute can move through several stages, and not every case has to end in a courtroom.

Written demand. Send records requests in writing, with the five-business-day notice. This starts a clear paper trail.

Negotiation. Owners discuss access, pay or governance terms, often with lawyers at the table.

Mediation. A court must refer a filed civil action for money damages to mediation when one party asks, unless a listed exception applies. The requesting party must be willing and able to pay, or the costs must be equitably divided between the parties (Fla. Stat. § 44.102).

Litigation. Venue for a proceeding brought under Florida’s corporate dissolution provisions lies in the circuit court in the applicable county. In a proceeding to dissolve a Florida corporation, Fla. Stat. § 607.1431(3) provides that the court may issue injunctions, appoint a receiver or custodian, preserve corporate assets, and carry on the business of the corporation until a full hearing is held.

Start preserving evidence now. Save emails, texts, bank records, meeting notes and tax filings. These documents shape every option above.

Buyouts, Valuation and Protecting Your Ownership Stake

A buyout is one common way a minority dispute ends, and the price and process need careful review.

Purchase election. In a shareholder’s dissolution case, the corporation may elect to buy all of the petitioner’s shares at fair value, and if it does not, one or more other shareholders may. The election may be filed within 90 days after the petition, or later if the court allows (Fla. Stat. § 607.1436).

Notice. Within 30 days after a shareholder’s dissolution proceeding begins, the corporation must tell the other shareholders they can avoid dissolution by electing to buy the petitioner’s shares (Fla. Stat. § 607.1431).

Fair value. The court sets fair value as of the day before the petition was filed, unless it picks another date that fits the case (Fla. Stat. § 607.1436).

Valuation. The method, such as assets, earnings or market comparisons, can change the number a lot. Whether a minority discount applies turns on the documents and how the company is run.

Protect your stake. Keep personal and company money separate. Avoid informal side deals. Document every request and response.

How KEW Legal Handles a Co-Owner Dispute

KEW Legal handles partnership and co-owner disputes as part of its work as outside general counsel for business owners and investors.

Kristina E.
