Florida time limits and the contract’s own clauses often shape what happens next. A business contract and vendor dispute attorney can review those terms with you before any demand goes out.

Why Coral Gables Businesses Turn to a Business Contract and Vendor Dispute Attorney

Business owners usually look for help when a vendor stops performing, sends an invoice for work nobody agreed to, or ends a service agreement in a dispute. Many of these problems start with a phone call or an email. Every message can become evidence later.

KEW Legal’s Coral Gables office focuses on business contract and vendor disputes for owners and investors in Miami-Dade County and South Florida. The practice also works as outside general counsel for businesses that want contract questions handled before they become lawsuits.

This page is written for business owners and managers. Each one turns on the written terms and on what happened after the deal was signed.

Unpaid invoices for goods or services already delivered.

Late or incomplete work, including missed deadlines and performance that does not match the written specifications.

Defective goods or build-out work, and disputed change orders.

Termination and renewal fights, including notices that seem wrong and disagreements over exclusivity or scope.

Indemnity, insurance, and liability limits that come into play after a loss.

Listing these areas describes what the practice handles. It does not predict how any one matter will end.

The First Steps to Take in the Days After a Breach

Start by keeping every record tied to the deal. That includes the signed agreement, purchase orders, emails, text messages, invoices, delivery receipts, and notes from calls or meetings. Do not delete or edit messages.

Next, read the contract for any required notice, cure period, or delivery method. Many agreements require written notice sent to a specific address before a party can terminate or sue. Skipping that step can weaken a claim, even when the other side clearly broke the deal.

Be careful about what you write. A casual text that admits a delay or a mistake can be used later. Route serious messages through counsel where you can.

Finally, keep records of your own performance and your attempts to resolve the problem. These records show what your business delivered, paid, and offered.

Contract Clauses That Often Decide How a Dispute Proceeds

Clause wording often controls the path a dispute takes. Read these terms first.

Governing law and venue. A choice-of-law clause can name which state’s law applies. Under Fla. Stat. § 671.105, parties to a transaction with a reasonable relation to Florida and another state may agree which law governs. Venue is a separate question. Under Fla. Stat. § 47.011, actions are brought in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located. For a Coral Gables business, that may point to Miami-Dade County, but the answer depends on the parties and the events.

Arbitration and mediation. Under Fla. Stat. § 682.02, an arbitration agreement in a record is valid, enforceable, and irrevocable, except on grounds that allow any contract to be revoked. If the other side refuses to arbitrate, a court decides the motion to compel. Some contracts also require mediation first.

Attorney’s fees. If a contract lets one party recover fees for enforcing it, Florida law can let the other side recover fees when it wins. Under Fla. Stat. § 57.105(7), if a contract contains a provision allowing attorney’s fees to a party that is required to take action to enforce the contract, the court may also allow reasonable attorney’s fees to the other party when that other party prevails in an action, whether as plaintiff or defendant, with respect to the contract. A fee clause cuts both ways, and no fee recovery can be promised.

Clause meaning depends on the exact wording and the facts. Each agreement needs its own review.

Florida Time Limits for Contract Claims

Florida sets a deadline to file most contract lawsuits. The length depends on the type of agreement. Written contracts generally have a longer period.

The clock generally starts when the last element of the claim occurs, under Fla. Stat. § 95.031. So the breach date alone may not answer the question.

A contract cannot shorten the deadline. Under Fla. Stat. § 95.03, a clause that sets a shorter period than the statute allows is void. Some events can also pause the clock.

Sales of goods have their own rules. Under Fla. Stat. § 672.607, a buyer who has accepted goods must, within a reasonable time after discovering or should have discovered any breach, notify the seller of the breach or be barred from any remedy.

Notice and cure periods can run before any lawsuit deadline. Put them on the calendar now. No timeline can be promised in advance.

Demand Letters, Negotiation, Mediation, and Litigation

A demand letter is a formal written step. It names the contract, describes the breach, states the remedy sought, and sets a response deadline. Before sending one, confirm the other party’s legal name and status. The Florida Division of Corporations (Sunbiz) provides registration and status information for Florida business entities.

Some disputes settle through direct talks. Others move to mediation or arbitration, which the contract may require. When the parties cannot agree, the matter may go to court. The right path depends on the contract, the evidence, and the client’s goals. No outcome can be promised.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Outside General Counsel for Coral Gables Vendor Relationships

Outside general counsel work helps a business review contracts before a problem starts. The model covers vendor agreements, purchase terms, and renewal dates. It can also cover contract templates, vendor onboarding terms, and notice procedures.

This work does not depend on a dispute already existing. A business may simply want a clear agreement before it signs with a new supplier. The goal is to catch unclear language, missing notice terms, or an expiring renewal date early, while there is more room to make changes.

About KEW Legal’s Coral Gables Business Law Practice

Kristina E.
