We advise business owners, managers, and HR leaders who make decisions about people. The firm’s bona fide office is in Coral Gables, and Kristina E. The firm works as outside general counsel, so a hiring problem may come up alongside a vendor contract, a partnership question, or a commercial lease. A manager ends a job, denies a leave request, or writes up a performance problem. Those choices become business issues later if the record is thin.

The matters this practice covers include:

Terminations, resignations, and final pay

Performance management and written warnings

Leave requests and leave policy questions

Complaints raised internally by employees

Charges filed with a government agency

A common mistake is acting before the facts are written down. A missing note, a policy nobody follows, or a pay record that doesn’t match the story can turn a routine exit into a dispute.

Complaints need special care. Florida’s civil rights statute makes it unlawful for an employer to discriminate against someone who opposed a practice or took part in an investigation. Federal anti-retaliation law makes it an unlawful employment practice for an employer to discriminate against any of its employees or applicants for employment because the person has opposed any practice made an unlawful employment practice by that subchapter, or because the person has made a charge, testified, assisted, or participated in any manner in an investigation, proceeding, or hearing under that subchapter. A demotion or a hasty firing after a complaint can create a second problem.

How Florida’s At-Will Rule Works and Where It Has Limits

That freedom has limits. A firing can be unlawful if it’s based on a protected trait. Florida’s civil rights law bars an employer from discharging someone, or otherwise discriminating, because of race, color, religion, sex, pregnancy, national origin, age, handicap, or marital status (Fla. Stat. § 760.10).

The state law applies to an employer with 15 or more employees for each working day in 20 or more calendar weeks in the current or preceding year (Fla. Stat. § 760.02). Federal law also makes it an unlawful employment practice for an employer to limit, segregate, or classify its employees or applicants for employment in any way which would deprive or tend to deprive any individual of employment opportunities or otherwise adversely affect that individual’s status as an employee, because of such individual’s race, color, religion, sex, or national origin. The U.S. Equal Employment Opportunity Commission publishes employer guidance on those duties.

Retaliation is the limit many small employers miss. A termination soon after a complaint can draw a retaliation claim, even when the business has a reason. Before any termination, talk it through with counsel. Check the reason against written policy, the employee’s file, and the timing.

Wage and Hour Compliance for Florida Employers

Wage and hour rules come from federal law and Florida law, and both can apply to the same workplace. The most common question is whether a worker is exempt from overtime.

Salary is one part of that test. The duties tests in the regulations must also be met, so a salary alone does not settle the question.

Florida’s minimum wage rules sit in the state constitution (Article X, Section 24). The amendment bars retaliation against a worker who asserts rights under it. If a worker prevails in a claim under the amendment, the law provides unpaid back wages plus the same amount as liquidated damages (extra damages equal to the back pay), plus reasonable attorney’s fees and costs. The amendment sets a four-year limit, or five years for willful violations.

We review pay practices and classification questions as part of this practice. A review helps a business see its risks. It cannot promise that a business has no liability.

Non-Compete, Non-Solicitation, and Confidentiality Agreements

Florida enforces restrictive covenants under Section 542.335 of the Florida Statutes, and the statute sets the rules. An agreement must meet those requirements to be enforced.

Start with the writing. A court won’t enforce a restrictive covenant unless the person against whom it’s enforced signed it in writing. The covenant must also protect a legitimate business interest. A restraint without one is void and unenforceable.

The party seeking enforcement must prove the restraint is reasonably necessary. If the restraint is overbroad or overlong, the court must modify it and grant only the relief reasonably necessary. A sloppy clause may be trimmed rather than thrown out, but a court may decide otherwise.

The statute also says a violation of an enforceable covenant creates a presumption of irreparable injury. It also says no temporary injunction may be entered without a proper bond. Employers should plan for that bond requirement.

This practice drafts and reviews these agreements and addresses enforcement questions. Drafting questions usually cover the scope of work, the length of the restriction, the territory, and how customer relationships and confidential information are described. We don’t predict how a court will rule on a specific clause.

Employee Handbooks, Policies, and Internal Workplace Investigations

A handbook sets written rules for employees. It helps only when the business follows it. A policy that says one thing while the business does another can cause problems in a dispute.

The practice drafts and revises handbooks covering at-will language, anti-harassment and complaint procedures, leave policies, and remote work rules. Leave policies should match federal leave law. Under the Family and Medical Leave Act, when leave for a foreseeable birth or placement is planned, employers generally receive at least 30 days’ advance notice where the date allows.

Harassment between co-workers raises its own duty. Federal regulation states that harassment on the basis of sex is a violation of section 703 of title VII, and that unwelcome sexual advances, requests for sexual favors, and other verbal or physical conduct of a sexual nature constitute sexual harassment when submission to such conduct is made either explicitly or implicitly a term or condition of an individual’s employment, when submission to or rejection of such conduct is used as the basis for employment decisions affecting that individual, or when such conduct has the purpose or effect of unreasonably interfering with an individual’s work performance or creating an intimidating, hostile, or offensive working environment. A clear complaint procedure helps a business act on reports.

An internal workplace investigation follows a general process. The investigator defines the complaint, collects and documents the facts, and reports the findings to the business owner. Findings should rest on documented facts, not assumptions.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

How the Free First Consultation Works

The first consultation is free, confidential, and carries no obligation to continue.
