Wilson · Published October 26, 2026

If you need a consulting agreement dispute attorney in Florida, the first step is knowing what your contract actually says. A consulting agreement dispute happens when a business and an outside consultant disagree about those terms. The usual fights involve unpaid fees, work outside the agreed scope, early termination, and who owns the work. KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. It focuses on business contract matters for owners and investors across Miami-Dade and South Florida. Kristina E. Wilson is the lawyer responsible for this page.

What a Consulting Agreement Dispute Involves

A consulting agreement is a contract for advice, services or deliverables from an outside consultant. It differs from a vendor purchase, where the business buys goods or a set product. It also differs from a full-time job.

Three groups usually need help:

Businesses that hired a consultant and now dispute an invoice or the quality of the work.

Consultants who were not paid as agreed, or who were let go mid-project.

Founders and investors who must review a consultant’s role during a sale, a partner split or an ownership change.

A written contract does not prevent a dispute. Words like “ongoing support” or “as needed” can mean different things to each side. The gap between the paper and the work is where most fights begin.

If a consultant's invoice is unpaid or your agreement leaves scope and ownership open, you don't have to sort it out alone. Missing one can end a claim. Fraud or civil-theft labels do not always change a contract fight. In Frutafino v. Dole Chile, the Third District barred tort claims over unpaid invoices because they were not independent of the contract. A verbal side promise also adds risk. Our guide on whether a verbal agreement with a vendor is enforceable in Florida covers that problem.

Contract Terms That Usually Decide These Disputes

Six contract terms usually decide how a consulting fight turns out:

Scope: specific deliverables, dates and acceptance steps, not general phrases.

Payment: invoice timing, late-payment terms and how a disputed invoice is handled.

Term and termination: renewal rules and written notice requirements.

Ownership: intellectual property assignment and work-for-hire language.

Disputes: governing law, venue, and whether the parties must mediate or arbitrate.

Entire agreement and amendment clauses, which decide whether side promises count.

Arbitration clauses carry real weight. Under § 682.02, a written arbitration agreement is valid and enforceable, except on grounds that exist to revoke any contract. Fee clauses can also cut both ways. Under § 57.105, if a contract lets one side recover fees for enforcing it, the court may award fees to the other side when that side prevails. Before a court refuses to enforce a term as unconscionable (unfairly one-sided), it looks at both how the deal was made and how unfair the terms are. Basulto v. Hialeah Automotive requires both, though not to the same degree. The outcome depends on the facts, the documents and the messages exchanged.

Independent Contractor or Employee: Why Classification Matters

A label in a contract does not settle how a consultant is treated. The way the work is actually done matters too. A business that uses the same person every week, sets the hours and controls the methods may face hard questions about that relationship. Those questions often surface in a payment or termination fight. The contract may say “independent contractor,” while the working reality tells a different story.

KEW Legal reviews the working relationship alongside the written agreement, not the paper alone. The firm also handles employment law matters for employers, so a classification question can be reviewed with that in mind. Review is simpler before the relationship grows long, when terms can still be clarified.

How KEW Legal Handles a Consulting Agreement Dispute

The process starts with a free, confidential first consultation with no obligation to continue. Each step builds on the one before it.

Initial review. We review the agreement, invoices, emails and any termination notice together.

Deadlines and clauses. We identify the notice, dispute and time-limit terms. Under § 95.03, a contract clause that sets a shorter time to sue than the statute allows is void.

Demand and negotiation. Many fee and scope disputes are resolved through a demand letter, a settlement proposal or a negotiated amendment. Florida’s older offer-of-settlement statute, § 45.061, states that it does not apply to causes of action that accrue after its effective date, so its timing rules generally do not govern settlement offers in a new consulting dispute.

Resolution path. Depending on the agreement, this may mean mediation, arbitration or a Florida court case. On one party’s request, a court must refer a filed civil action for monetary damages to mediation under § 44.102, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties, unless a listed exception applies.

Timelines vary with the agreement’s complexity, the other side’s cooperation and the forum. No fixed timeline is promised.

Why Businesses Work With KEW Legal on Contract Disputes

KEW Legal focuses on business law for owners and investors across Miami-Dade and South Florida.
