Wilson · Published October 26, 2026

If you need a business loan promissory note default attorney in Miami-Dade, the note is where to start. A borrower defaults when it breaks a repayment term in the note. The note decides which failures count, how much notice is owed, and what the lender can do next. Because those rules live in the document, the exact wording matters. This page explains how defaults work and who this service fits.

What Is a Business Loan Promissory Note Default?

A default is a failure to meet a term of the note, and the note itself says which failures count.

A promissory note is a written promise to repay money on set terms. A business loan note usually names three roles. The borrower is the company or owner who gets the money. The lender is the bank, investor or owner who provides it. Some notes also include a personal guarantor, an owner who agrees to pay if the company does not.

Common default triggers include:

Missed or late payments.

Breach of other loan terms, such as reporting or insurance duties.

A bankruptcy or insolvency filing.

A cross-default, where a default on a different loan triggers a default on this one.

Many notes also include an acceleration clause. It lets the lender demand the full balance early after a default. The note also sets grace periods and notice steps, and those steps often control what happens next.

A default can be about money owed or about a broken non-money term. It doesn’t always end the deal. Parties often agree to a workout, which changes the terms in writing.

Who This Service Is For and When to Call

This service fits lenders, borrowers, guarantors and business partners who face a loan default or a demand tied to a business note.

Lenders and investors who need to enforce a note after payments stop or another term is broken.

Borrowers who received a default notice, a demand letter or a lawsuit and want to know their options before they respond.

Owners who signed a guarantor agreement. Florida law generally requires a promise to answer for another person’s debt to be in a writing signed by the party to be charged. You need to know how that personal promise affects you.

Partners and shareholders whose loan grew out of a partnership dispute or a business sale. These loans often connect to the partnership dispute and business contract work the firm handles.

If you are unsure which group you fall into, the note and the default notice will show it.

What the Note Default Service Covers

The service covers document review, written notices, repayment talks, and court work in Florida when a dispute can’t be settled.

Document review. We read the note, related loan papers, security agreements and any guarantor agreement. We check payment terms, default clauses, notice rules and fee language.

Notices and demand letters. Notices follow the steps the note sets. We keep a record of how each one was delivered.

Repayment talks. We negotiate repayment plans, forbearance or workouts, and we put agreed terms in writing.

Defense review. Borrowers may raise issues such as notice defects or interest rates. Florida treats interest above the equivalent of 18 percent per year, simple interest, as usurious under Fla. Stat. § 687.02. Loans over $500,000 follow a different rate rule.

Court work. Larger balances go to circuit court. Venue is proper only in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located; this section does not apply to actions against nonresidents (Fla. Stat. § 47.011).

Mediation.

After judgment. A judgment can become a lien on Florida real property once a certified copy is recorded with the creditor’s address (Fla. Stat. § 55.10). Under Fla. Stat. § 55.10, a judgment, order, or decree becomes a lien on real property in a county when a certified copy is recorded in that county’s official records or judgment lien record, provided the judgment, order, or decree contains the lienholder’s address or a separate affidavit stating that address is recorded simultaneously, and it does not become a lien unless that address requirement is met.

How the Process Works, Step by Step

A note default usually moves through six steps, from review to notice to negotiation, and to court only if needed.

Initial consultation. We identify the note, the default, the amounts owed and any deadlines.

Document review. You get a written summary of your options, including notice rules and any fee clause. Timing matters. Under Florida law, a contract provision that sets a shorter period to file a lawsuit arising out of the contract than the applicable statute of limitations provides is void (Fla. Stat. § 95.03).

Notice or demand. The notice goes out in the form and manner the note requires, with proof of delivery.

Negotiation. We discuss repayment plans or a workout and put any settlement in writing.

Suit, if needed. We file in the proper Miami-Dade court and handle discovery, motions and mediation.

Judgment and enforcement. Collection steps begin once a judgment is entered.

Delay can also cost you. A party that keeps accepting a deal after learning the facts that justify undoing it may lose that right. Courts call this ratification (Flaherty v. Flaherty).

How long this takes depends on the facts. That includes the amount owed, the note’s terms, whether the borrower responds, and the court’s schedule.

Why Work With KEW Legal on a Promissory Note Default

KEW Legal reviews a promissory note as part of the business it sits inside, not as a stand-alone form.

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. It acts as outside general counsel for business owners and investors across Miami-Dade and South Florida. Its work covers contracts, business disputes, commercial leases and investment property.

Note defaults rarely sit alone. A loan may tie to an operating agreement, a lease for business space, or a sale contract. Reading those documents together shows who owes what and who can enforce it.

Kristina E. Wilson is the responsible lawyer for this page. The firm’s lawyers include Natalie Martinez. The approach follows your documents, and the options come from what the note and related papers say.

Common Questions About Business Loan Note Defaults

Here are short answers to common questions about note defaults.
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
What type of attorney do I need to sue a business?

A business contract attorney handles a claim for breach of a promissory note. The right court turns on the amount in dispute and where the defendant lives or the claim arose.
</details><details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Can I recover attorney’s fees for breach of contract in Florida?

Only if a contract or statute allows it.
