Wilson · Published October 26, 2026

If an employee took company files when they quit Florida, the first job is to protect the evidence. The next job is deciding what to demand and whether a lawsuit makes sense. The short answer: lock down access, keep devices and records unchanged, and write down what you know before you confront anyone.

This page explains how Florida law treats copied or kept business information and what to do in the first days. KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. This page is the responsibility of Kristina E. Wilson, one of the firm’s lawyers.

When a Departing Employee Takes Company Files

When a departing employee takes company files, the employer should first secure its systems and keep the evidence intact. Disputes of this kind often develop along similar lines. An employee resigns or is let go. Days or weeks later, someone finds a customer list, a pricing sheet or an email chain sent to a personal account or a USB drive.

The urge is to confront the former worker right away. In practice, the first hours matter more for evidence than for the letter you send. A wiped laptop or a cleaned-up account can make proof much harder to find.

This page covers copied or kept files and confidential business information. A different question is whether a former employee may contact your clients after leaving. That question is covered on our business contract and vendor dispute attorney page, so this article stays with the files.

Questions about confidential business information often turn on the facts, including what the information is, what steps the business took to protect it, and how the employee came to have it. Each one shapes the next steps.

If a former employee left with your files, you may have options, and you don't have to work out the next steps alone. Stat. ch. 688 and governs misappropriation of trade secrets. A trade secret includes a formula, pattern, compilation, program, device, method, technique or process. It must derive economic value from not being generally known or readily ascertainable, and the owner must make reasonable efforts to keep it secret.

Common business examples include customer lists, pricing and margin data, supplier terms, marketing plans and internal processes. Florida’s theft of trade secrets statute names lists of suppliers and lists of customers in its definition too.

Misappropriation is more than theft. It can include acquiring a trade secret by improper means, such as theft, misrepresentation or breach of a duty to keep it secret. Under Fla. Stat. § 688.002, “misappropriation” includes disclosing or using a trade secret of another without express or implied consent by a person who knew or had reason to know that the knowledge was acquired under circumstances giving rise to a duty to maintain its secrecy or limit its use.

General skill and experience usually sits differently. The know-how an employee builds on the job is not the same as specific records. Information that is widely known in the industry usually does not qualify.

If misappropriation is threatened, a court may enjoin it. A complainant, such as an employer, is entitled to recover damages for misappropriation, including actual loss and unjust enrichment, unless a material and prejudicial change of position before learning of the misappropriation makes a monetary recovery inequitable. If the misappropriation was willful and malicious, exemplary damages can reach twice that award.

Taking Files Versus Soliciting Clients or Using General Knowledge

Copying files, using confidential information later and contacting clients after leaving are three different problems. Each needs different proof, so keep them separate in your notes.

Start with general knowledge. A former employee’s general skills are usually not the same as the employer’s confidential records. The question is whether a specific file or list was taken or used.

Contracts add a separate layer. The trade secret act displaces conflicting state civil claims for misappropriation. It does not affect contract remedies. A signed confidentiality or non-solicitation agreement may create rights of its own, and its wording decides what it covers.

Contract claims can also run into limits. Florida’s Third District has said that when an express contract covers the same subject, claims from that relationship will not support unjust enrichment. See Williams v. Johnson.

Handbooks are different again. Florida courts have held that policy statements in an employee manual do not create enforceable contract rights unless the manual says it is a separate employment contract. See Quaker Oats Co. v. Jewell. A confidentiality rule in a handbook alone may not be enough.

Preserve the Evidence Before Anything Else

If an employee took company files when they quit Florida, restrict access and keep every device unchanged. Do this before any meeting, letter or phone call.

Start with access. Disable the former employee’s logins for email, shared drives, cloud storage and remote access. Write down the date and time of each change.

Next, leave devices alone. Don’t wipe, reimage or reassign the company laptop, phone or storage drives. Set them aside in their current state. A reissued laptop overwrites the record of what left.

Keep the logs. IT access records, download and print history, sent email folders and cloud sharing history often show what moved and when. Ask IT to export these records, not clean them up.

Many employers also arrange a forensic copy. A qualified technician makes an exact copy of the relevant devices. The review happens on the copy, so the original data stays untouched.

Document What Was Taken, How, and When

Write down a timeline, a file inventory, and a clear split between what you can prove and what you suspect. These notes guide every later decision.

Start the timeline with hiring and any signed confidentiality or policy acknowledgment. Add the notice of resignation or termination, the last day, and every access event after that. Dates matter more than memory.

Next, build an inventory. For each item, list the file name, folder location, date created or changed, and who had access. A short list of specific items works better than a general claim that “everything” was taken.

Then separate proof from suspicion. A log showing a download is proof of an event. A guess that a file went somewhere is a suspicion until you can show it. Keep the two apart in your notes.

Limit internal talk. Share the matter only with people who need to know. Keep messages factual and avoid speculation in group chats or email.

Sending a Demand Letter: What It Typically Asks For

A demand letter usually names the confidential materials, states the basis for the request and lists the steps the former employee must take. A letter asks for action. If the former employee refuses, a court can be asked to act under the trade secret injunction section.

Typical requests include:

Return of all company materials.

A written list of anyone else who received copies.

An agreement to stop using or sharing the information.

Preservation of devices, accounts and records while the matter is resolved.

Keep the tone factual. Demands should tie to specific facts. Overstated threats can backfire. Under the 21-day sanctions rule, a sanctions motion must be served first. It cannot be filed unless the challenged claim is not withdrawn or corrected within 21 days.

See the secrecy protection section.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Mistakes That Can Weaken an Employer’s Position

The biggest mistakes are self-help, cleaning up evidence and making claims the facts cannot support. Each one can hurt the employer’s position.

Don’t access the former employee’s personal accounts or personal devices. Getting into them without permission can create legal problems of its own. Use only the company’s own systems and records.

Don’t delete, rename or reorganize files on company systems while preservation is still underway. Clean-up can look like tampering, even when it was innocent.

Overstated claims carry cost. See the attorney’s fee sanctions statute. Whether that applies depends on the facts.

Watch the calendar. See the three-year deadline. A continuing misappropriation counts as a single claim.

Avoid statements to clients, vendors or the former employee’s new employer that you can’t back up. Unsupported accusations can create problems of their own.

Talk Through Your Situation With KEW Legal

If a former employee has left with your customer list, pricing sheets or other files, you need to decide what to preserve, what to demand and how to protect your customer relationships.
