Under Florida law, a member or manager is not personally liable for company debts just because of that role (Fla. Watch for these points:

A personal promise to pay. Some agreements include a separate promise by an owner to pay the company’s debt.

Signing without the company name. A signature block that leaves off the company name or your title can blur who you signed for.

Credit applications and online terms. Account forms sometimes put personal responsibility language on a separate page or in linked terms.

Indemnity clauses. These can shift a vendor’s losses or third-party claims onto the person who signed.

Renewals and add-on orders. A new signature on an amendment can reopen terms you thought were settled.

Electronic signatures count too. Under Florida law, an electronic signature has the same force as a written signature unless another law provides otherwise (Fla. A click-through signing screen can bind you as firmly as ink.

What the Attorney Review Covers

A review covers every document that makes up the deal, not only the main agreement. That includes order forms, statements of work, credit applications, linked online terms, and later amendments. We check:

Signature blocks. Who signed, in what capacity, and whether the company name and title appear.

Personal promise, indemnity, and joint-liability language. Each clause is explained in plain terms, including what it would require of you personally.

Payment and exit terms. Minimum purchases, termination rights, and early-termination fees, including how a fee is calculated.

Sales-of-goods rules. For goods priced at $500 or more, a contract is not enforceable by way of action or defense unless there is a record sufficient to indicate that a contract for sale has been made between the parties and signed by the party against whom enforcement is sought or by that party’s authorized agent or broker, with limited exceptions (Fla. Between merchants, if within a reasonable time a written confirmation sufficient against the sender is received and the receiving party has reason to know its contents, it can satisfy that rule unless a written objection is given within 10 days after it is received.

Venue. Florida generally requires suit in the county where the defendant resides, where the claim arose, or where the property sits, with an exception for nonresident defendants (Fla.
