Wilson · Published October 25, 2026

What Happens to Your Business When a Key Partner Leaves

If a key partner leaves, the result depends on your entity type and your governing documents. Florida handles LLCs, corporations, and partnerships with separate rules.

A key partner might be a member, partner, shareholder, or manager. That person may hold customer relationships, bank signing power, capital, or a personal guarantee on a company debt. When they leave, several things can shift at once: ownership percentages, voting power, bank access, distributions, and access to records.

Florida lets an LLC member withdraw at any time by express will, and the member is dissociated when the company has notice of that will, or on a later withdrawal date the member specified, as stated in Fla. Still, leaving by express will before the company winds up can be wrongful. Under Fla. Stat. § 605.0601, a wrongful exit can make the departing member liable for damages it causes.

This guide is for two groups. Some owners have not yet triggered an exit. Others are already facing one.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Start With the Governing Documents

Your operating agreement, partnership agreement, bylaws, or shareholder agreement usually controls first. Florida’s default rules only fill the gaps those documents leave open.

For LLCs, Fla. Stat. § 605.0105 says the operating agreement governs relations among members, management, and company affairs, except for certain matters the statute says the agreement may not change, such as eliminating the obligation of good faith and fair dealing or varying the LLC’s capacity to sue and be sued in its own name. If the agreement is silent, the chapter’s default rules apply.

Before you talk with the departing partner, gather these items:

Formation documents and every amendment

All side agreements and buy-sell terms

Written consents and meeting minutes

Personal sureties, loans, and leases tied to the partner

Watch for common gaps. Look for unsigned documents, agreements never updated after an ownership change, and documents that conflict with each other.

The Provisions That Decide the Outcome

The clauses that matter most cover exit triggers, price, and authority. Check these first:

Triggering events: voluntary withdrawal, death, disability, or termination for cause.

Price and method: the valuation method, and whether the purchase is mandatory or optional.

Payment terms: installments, security, and deferred payment.

Authority: who signs contracts, controls bank accounts, and binds the company to leases.

Removal: the vote required and the written steps the agreement demands.

Restrictive covenants: a court will not enforce a restriction unless it is in a writing signed by the person against whom enforcement is sought. The party seeking enforcement must also prove a legitimate business interest under Fla. Stat. § 542.335.

A court must narrow an overbroad restraint to what it reasonably needs.

Leaving does not, by itself, erase debts the partner incurred while a member.

For related disputes, see co-owner disputes in Florida businesses.

Questions to Answer Before the Partner Leaves

Answer these six questions in writing before your first serious conversation with the partner.

Who holds the customer relationships, vendor accounts, and licenses? Can the business keep them?

Who controls the bank accounts, company email, website, and financial records? Are the passwords written down?

Which leases, loans, or other agreements make the departing partner personally liable? Who must be released?

What is the business worth today, and what valuation method do the documents use?

Does the partner have ongoing duties, such as a pending project or an employee handoff?

Who must hear the news, and in what order: employees, vendors, lenders, and landlords?

Records matter too. A dissociated member may request access to information from the period they were a member through a written demand. Keep organized copies of your own records now.

How the Process Typically Works With KEW Legal

The process usually runs in five steps: consult, review, preserve, negotiate, and document. Each step builds on the one before it.

Initial consultation. You describe the entity type, the triggering event, and the documents you have.

Document review. The agreements, buy-sell terms, authority provisions, and side agreements are reviewed. You receive a written list of gaps and risks.

Preservation. Records, banking access, and company accounts are secured. Required written notices go out under the documents.

Negotiation. The parties may use a written demand, a buyout proposal, a separation agreement, or mediation.

Documentation. The exit is recorded in a buyout or transfer agreement, updated signing resolutions, bank and lease changes, and release terms.

In a partnership, a default rule also applies.

The timeline depends on the facts. It turns on the documents, the valuation method, and whether the departing partner cooperates.

Why Owners Work With KEW Legal on Partner Departures

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. The firm acts as outside general counsel for business owners and investors across Miami-Dade and South Florida.

The firm handles partnership disputes, employment matters for employers, business buying, selling, and succession, business contracts and vendor disputes, commercial leases, and investment property. A partner exit often touches several of these areas at once.

Outside general counsel means one firm reviews the governing documents. It then coordinates the contract, employment, lease, and property issues that come with the exit.

Kristina E. Wilson is the responsible lawyer for this page. The firm has more than one lawyer, including Natalie Martinez, along with support staff.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Frequently Asked Questions
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
When can a partnership end after a partner leaves?

A partner leaving does not always end the partnership.
