It covers advice on records requests, written demands, and court action when a company will not comply.

You may be a good fit if you are:

A non-managing or minority member who gets no financial statements, tax information, or bank access.

A co-owner who suspects payouts or payments are not shared with you.

An investor who wants to confirm how your money is being used.

A person acting as a member’s agent or legal representative. Stat. § 605.0410 says the company must keep these records at its principal office or another location:

A current list of each member and manager, with names and last known addresses.

Financial statements for the 3 most recent years, if the company has them.

A record of each member’s cash contribution and the agreed value of other property contributed, and the times or events for any additional contributions agreed to be made by each member, unless the operating agreement holds that information in a record.

In a member-managed LLC, you may inspect and copy these records on reasonable notice. You may do so during regular business hours, at a location the company names. You may also inspect other company records that matter to your rights and duties.

The company must also tell members, without a demand, about its finances when that information matters to their rights. It can skip this only if it can show it reasonably believes you already know it. Within 10 days after a demand for other information, the company must say what it will provide and when and where, and its reasons for declining any demanded information it will not provide.

The operating agreement comes first. An LLC’s operating agreement generally governs relations among the members and between the members and the company, and Chapter 605 of the Florida Statutes governs any matter the operating agreement does not address. How these rights apply depends on the facts of your company, its operating agreement, and your role.

Financial Information Members Commonly Ask For

Members most often ask for financial statements, contribution records, distribution details, and payment records. Name each document in your demand so the company knows exactly what you want.

Financial statements. Ask for the three most recent years, if the company prepared them.

Contribution records. Ask for each member’s contribution and its agreed value. Fla. Stat. § 605.0404 ties profit, loss, and distribution sharing to those agreed values.

Distributions. Many members assume they are owed a payout. Under the same section, a member has no automatic right to a distribution before dissolution unless the company decides to make an interim one.

Payroll and vendor payments. Payments to a manager, a family member, or a business tied to a manager can raise conflict-of-interest questions. Fla. Stat. § 605.04092 sets the rules for those transactions.

Decision records. Ask for records of major decisions that affect your economic interest. These may fall under the “other records” category in § 605.0410.

How the Records Request Process Works

A records request usually moves through four steps: document review, a written demand, the company’s response, and resolution. Each step builds the record you may need later.

Review the documents. Start with the operating agreement, formation papers, and the company’s annual report. Fla. Stat. § 605.0212 requires the annual report to name at least one person with authority to manage the company. This review often starts at the first consultation.

Put the request in writing. A written request can identify the records you are seeking and how you would like them delivered. Fla. Stat. § 605.0117 allows notice to a member of a member-managed LLC or a manager of a manager-managed LLC, to the registered agent, or to the actual principal office in Florida.

Read the response. The company may produce records, provide part of them, or refuse. Silence or refusal is a signal to move to the next step.

Negotiate or enforce. Many disputes end with an agreed production schedule or confidentiality terms. The operating agreement may set reasonable limits on how you use information obtained under § 605.0410. In a dispute, for records beyond the basic list, the company has the burden of proving that its own restrictions on use of that information are reasonable.

When a Company Refuses: Courts May Need to Get Involved

If a company still refuses after a proper demand, the member’s next steps should be reviewed with counsel. Section 605.0410 of the Florida Statutes addresses member access to certain company records.

Section 605.0410(10) allows a limited liability company, as a matter within the ordinary course of its activities and affairs, to place reasonable restrictions and conditions on access to and use of information to be furnished under that section, such as designating information confidential and imposing nondisclosure and safeguarding obligations on the recipient. That power does not apply to a member’s request for the basic records listed in subsection (1).

Other claims may apply. A member may bring a direct action to enforce rights under Fla. Stat. § 605.0801. That member must plead and prove either an injury not solely suffered by the company, or an injury from a violation of a separate statutory or contractual duty owed by the alleged wrongdoer to the member, even if it is partly the same as the company’s injury. A derivative action under Fla. Stat. § 605.0802 generally requires a demand first, and the managers or other members must fail to act within a reasonable time, not to exceed 90 days, unless the demand would be futile or irreparable injury would result to the company by waiting.

Records fights often run alongside partnership disputes, vendor disputes, or disagreements over who runs the company. Keep dated written requests, proof of delivery, and a log of every response.

Why Work With KEW Legal on Member Information Rights

KEW Legal is a Florida business law firm that works as outside general counsel for owners and investors.
