Wilson · Published October 25, 2026

An LLC member oppression attorney in Florida helps a minority owner respond when the people in control use that control unfairly. Oppression is a practical label, not a single section of the law. Florida’s LLC statute, Chapter 605 of the Florida Statutes, sets the core rights, and the operating agreement shapes many of them. This page explains the warning signs, the tools that may be available, and how a matter usually moves. It is general information, not advice about your own situation.

What Member Oppression Means in a Florida LLC

Member oppression happens when the people running an LLC use their control in a way that unfairly harms a minority member. The conduct can be unfair even when it isn’t clearly illegal.

Florida’s LLC statute does not list oppression as a ground for dissolving a company. A circuit court may dissolve an LLC in a proceeding by a manager or member if the conduct of all or substantially all of the company’s activities and affairs is unlawful; if it is not reasonably practicable to carry on the company’s activities and affairs in conformity with the articles of organization and the operating agreement; if the managers or members in control of the company have acted, are acting, or are reasonably expected to act in a manner that is illegal or fraudulent; if the managers or members are deadlocked, the members cannot break the deadlock, and the company faces irreparable injury; or if the company’s assets are being misappropriated or wasted in a way that causes injury to the company or, in a proceeding brought by a member, to one or more of its members. A claim about unfair treatment is usually built from other tools: fiduciary duties, the operating agreement, and a member’s right to information.

Fiduciary duties matter here. Each member of a member-managed LLC, and each manager of a manager-managed LLC, owes duties of loyalty and care (Fla. Stat. § 605.04091).

Oppression is most common in closely held LLCs. A few owners run the business, and a minority member may have little say in daily decisions. This page is written for a minority member, a co-investor, or a relative helping an owner who holds an interest.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Warning Signs a Minority Member Is Being Shut Out

Shut-out usually shows up as a pattern, not a single event. Watch for these signs:

You are left out of meetings, management decisions, or written consents that affect the business.

Distributions stop or are paid unevenly, while the majority still takes pay or benefits.

Your requests for bank records, tax returns, or the company ledger go unanswered.

The majority’s own company bills the LLC at high rates, or the company deals heavily with insiders.

Membership interests are diluted, reassigned, or bought back without a clear basis in the operating agreement.

You are pressed to sell at a low price or to leave the business.

Keep a written file. Save every request for information, every reply, and every meeting notice you receive. Timing often matters later.

What a Member Oppression Claim Can Cover

The right tool turns on the facts and the documents.

Records. Within 10 days after receiving a member’s qualifying written demand, the company must tell the member in a record what it will provide, when, and where, and its reasons if it declines to provide anything (Fla. Stat. § 605.0410).

Injunctions. In a dissolution case, a court may issue injunctions and take steps to protect company assets until a full hearing (Fla. Stat. § 605.0703).

Direct claims. A member can sue to protect the member’s own rights. A member bringing a direct action must plead and prove either an actual or threatened injury that is not solely the result of an injury suffered or threatened to be suffered by the company, or an actual or threatened injury resulting from a violation of a separate statutory or contractual duty owed by the alleged wrongdoer to the member, even if the injury is in whole or in part the same as the injury suffered or threatened to be suffered by the company (Fla. Stat. § 605.0801).

Derivative claims. A member can enforce a right that belongs to the company. First, a member may maintain a derivative action to enforce a right of a limited liability company if the member first makes a demand on the other members or the managers requesting that they take suitable action, and they do not act within a reasonable time, not to exceed 90 days; or if a demand would be futile, or irreparable injury would result to the company by waiting for them to act (Fla. Stat. § 605.0802).

Buyout. The company or other members may elect to buy the petitioner’s interest at fair value. The election may be filed within 90 days after the petition, or later if the court allows (Fla. Stat. § 605.0706).

How the Operating Agreement Shapes Your Rights

The operating agreement is usually the first document to review. It governs relations among members and the rights of managers, unless the statute provides otherwise (Fla. Stat. § 605.0105).

The agreement has limits, too. It cannot excuse bad faith, willful misconduct, or a knowing violation of law. It also cannot unreasonably restrict a member’s right to bring direct or derivative actions.

Look closely at these clauses:

Buy-sell or call rights, which set how an interest changes hands.

Deadlock sale provisions, which can apply instead of judicial dissolution or a court-ordered buyout when the managers or members are deadlocked in management, the members are unable to break the deadlock, and irreparable injury to the company is threatened or being suffered, if the provision was initiated before the court determines that grounds for judicial dissolution exist and is then initiated and effectuated according to its terms or an agreement of the members (Fla. Stat. § 605.0702).

Transfer restrictions, voting rules, and distribution terms.

Mediation or arbitration clauses, and any amendments that lack required member approval.

Two points surprise people. First, leaving the company does not by itself entitle a member to a distribution (Fla. Stat. § 605.0404).

How a Member Oppression Matter Typically Unfolds

A matter usually moves from a first meeting to document review, then to a written demand and negotiation. Court is the last step if talks fail.

First consultation. The free first consultation is confidential, with no obligation to continue. The attorney reviews the facts and documents with you.

Document review. The operating agreement, financial records, and messages are placed in a timeline.

Demand and negotiation. A written demand for records or a standstill letter may come first, followed by settlement talks.

Mediation. Where the operating agreement requires it, or where it makes sense, the parties try mediation.

Litigation. If talks fail, a dissolution case is filed in the circuit court of the county where the principal office is or was last located, or, if there is or was no principal office in Florida, where the registered office is or was last located (Fla. Stat. § 605.0703).

Timing matters. Under § 605.0802(1), 90 days is the maximum time the other members or managers have to act on a member’s demand. The length of each stage varies with the facts, the parties’ cooperation, and court schedules.

Why Business Owners Work With KEW Legal

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. It serves business owners and investors across Miami-Dade and South Florida, including Broward County.

The firm acts as outside general counsel. That means it works with a business over time, not only when a dispute starts. The same team that reviews contracts, leases, employment matters, and ownership structure can look at a member dispute in that wider context.

Related work includes partnership disputes, business acquisition and sale, business succession planning, and business contract and vendor disputes.

Kristina E. Wilson is the responsible lawyer for this page and is one of the firm’s lawyers. The firm’s lawyers also include Natalie Martinez. Our approach is fact-based.
