The buyers are usually the remaining members, the company, or both. Buyouts often follow a retirement, a falling-out, a deadlock, or an exit the operating agreement already allows.

Florida’s LLC law starts with the operating agreement. Under Fla. Stat. § 605.0105, the agreement governs relations among members and between members and the company. Where the agreement says nothing, the chapter’s default rules apply.

Members also have the power to leave. Under Fla. Stat. § 605.0601, a member can withdraw at any time, rightfully or wrongfully. A withdrawal can be wrongful, such as when it breaks an express term of the operating agreement. Fla. Stat. § 605.0601 reads: “(2) A person’s dissociation as a member is wrongful only if the dissociation: (a) Is in breach of an express provision of the operating agreement; or.” Florida’s limited liability company statute addresses when a member may leave a company and when that departure can be treated as wrongful, so the specific conditions should be reviewed against the company’s operating agreement and the statute itself. A member that is not an individual, an estate, or a trust other than a business trust also dissociates wrongfully if, before winding up is complete, it is expelled or otherwise dissociated because it willfully dissolved or terminated. A wrongful departure can make the member liable for damages to the company and the other members.

This page is for LLC members and managing members who are considering a buyout. It also helps owners who have received a departure notice and want to know what comes next.

What Does a Buyout Engagement Cover?

The engagement covers the review, the price terms, and the closing papers. It typically includes:

Review of the operating agreement, amendments, membership records, and any earlier buy-sell terms.

Confirming the departing member’s rights, duties, notice requirements, and deadlines.

Negotiating or drafting the price method, payment terms, closing deliverables, and release language.

Drafting the purchase agreement, assignment of membership interest, operating agreement amendment, and resignation papers.

Updating company records and removing the departing member from bank accounts, signing authority, and personal obligations, as the deal requires.

Outside general counsel support after closing, so the remaining owners have one point of contact for contract, lease, and employment questions.

How Is an LLC Membership Interest Valued?

The operating agreement’s formula or appraisal clause comes first. Check it before anyone makes an offer. If the agreement has no formula, owners usually negotiate one of three approaches:

An agreed value set by the owners.

A book-based figure taken from the company’s financial statements.

An independent appraisal of fair market value.

Each method raises its own questions, such as how current the numbers are and who picks the appraiser. Discounts for minority interests or limited marketability can also come up. Whether they apply depends on the agreement and the facts.

An operating agreement cannot remove the duty of good faith and fair dealing. Under Fla. Stat. § 605.0105, it can set standards for measuring that duty, but only if they are not manifestly unreasonable.

Gather the inputs early. That means financial statements, tax returns, debts, pending contracts, leases, and current cash. Put the agreed method in writing before the numbers come in. Leaving the company also doesn’t clear old debts. Under Fla. Stat. § 605.0603, dissociation does not by itself discharge a debt the person owed while a member.

How Is the Buyout Paid and Secured?

A buyout can be paid in one lump sum at closing or in installments under a promissory note. The note should state the interest rate, the payment schedule, the term, and any prepayment rights. Sellers often ask for security for the unpaid balance as well.

Who pays matters. If the company pays, Florida limits distributions. Under Fla. Stat. § 605.0405, a company may not make a distribution if afterward it could not pay its debts as they come due. The same limit applies if its total assets would fall below its total liabilities plus certain preferential amounts. A purchase of a member’s interest counts as a distribution under this test, so check the company’s finances before it pays.

Improper distributions also carry a deadline.

If the remaining members pay personally, review the funding source and tax effects with a tax advisor. Security can include a pledge of the purchased interest, a personal obligation from the buyer, and default and cure terms. These are negotiated terms, so they should appear in writing.

What Documents Do You Need, and How Does the Process Run?

The process has five stages, from the first call to closing. Timing depends on how quickly both sides agree on value and terms.

First call and document review. Bring the operating agreement, ownership records, and any departure notice.

Valuation and offers. Pick a method, gather figures, and exchange offers in writing.

Term sheet. Lay out price, payment schedule, security, closing date, and release scope. A contract generally needs an offer, acceptance, consideration, and enough detail on essential terms.

Full documents. Draft the purchase agreement, assignment, operating agreement amendment, mutual releases, and any consent or resignation papers.

Closing and filings. Transfer funds or sign the note, then update company records.

An assignment has limits. A transfer made in violation of an operating agreement restriction is ineffective against a person who had notice of that restriction.

Florida’s business records also matter. The Florida Division of Corporations FAQ explains that businesses must file annual reports to stay active. If the buyout follows a suspected problem, review our partnership dispute attorney page for the dispute side.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Why Work With KEW Legal on a Buyout?

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach.
