Sometimes. It depends on what the contract says and whether Florida law limits the restriction. Read the clause before you move any contract rights.

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. Our team handles business contract and vendor disputes for owners and investors in Miami-Dade and Broward County. This page explains how assignments work, when consent matters, and what to do next.

What a contract assignment is and who this page is for

An assignment moves a party’s rights under a contract to someone else. The party giving up its rights is the assignor. The party receiving them is the assignee. The other side, which still owes its duties, is the obligor.

Several kinds of people search this topic:

Owners selling a business or its assets, who need to move vendor or service contracts to a buyer.

Owners of vendor or service agreements who want to hand a contract to a new company.

Commercial tenants and landlords facing a request to transfer a lease.

Investors who hold leases or agreements and need to know whether they can move them.

If a contract is already moving to a new party, or the other side has asked for consent, call 305-990-2300 before anything is signed.

Is consent required? Start with the assignment clause

The assignment clause usually decides whether consent is needed. Look for these parts first:

Anti-assignment language that bars transfer without approval.

“Consent not to be unreasonably withheld” wording, which sets a standard for approval.

Notice provisions that say how and when you must tell the other side.

Definitions of “transfer” or “change of control,” which can reach ownership changes.

Silence is not a plan. A contract that says nothing about assignment can still have limits, and the answer depends on the contract type and its wording.

A transfer of ownership is not the same as an assignment. A sale of membership interests in an LLC can leave the contract in place. Florida law says a transfer of an LLC interest is permissible. It does not give the buyer management rights or, with limited exceptions, access to company records (Fla. Stat. § 605.0502). An asset sale usually requires an assignment of each contract.

Share transfers follow their own rules. Under Florida’s corporation statute, a transfer restriction is enforceable against a buyer only if it is noted conspicuously on the certificate or in the information statement. An exception applies when the buyer already knew of it (Fla. Stat. § 607.0627).

Can a contract be assigned without consent in Florida?

In general, a contract’s terms control. If the contract requires consent, an assignment made without it can lead to a dispute. The other side may claim breach, seek damages, or end the deal, depending on its remedies.

Some transfers fall outside certain statutes. Florida’s secured transactions chapter does not apply to the creation or transfer of an interest in real property, including a lease, except to the extent that provision is made for items the statute lists, such as liens on real property and security agreements covering personal and real property (Fla. Stat. § 679.1091). The exceptions are the ones the statute lists (Fla. Stat. § 679.1091). Don’t assume a general rule covers your lease, vendor deal, or license.

Paperwork creates risk too. A written consent or assignment that says something different from the deal can lead to a mistake dispute.

A consent request should be in writing. It should name the assignor, the assignee, the contract, and the effective date.

Is the assignor still liable after assignment?

Whether a party remains responsible after a contract changes hands depends on the contract’s language and the facts of the deal. In general terms, a novation is different.

For LLC members, Florida law is direct.

Sellers often protect themselves with contract terms. Common tools include:

An indemnity provision, where the buyer agrees to cover certain claims after closing.

Assumption language, where the assignee accepts the duties under the contract.

Release terms that the other side signs.

If your name stays on a contract after a sale, review the release and indemnity terms before closing. Don’t rely on the buyer’s promise alone.

How does the assignment process work?

A typical assignment moves through six steps. Each step builds on the one before it.

Collect every contract, amendment, notice, and related lease or license in the chain.

Identify whether consent, notice, or approval for an ownership change is required, and who must give it.

Send a written consent request using the contract’s notice method and timing.

Draft the assignment and assumption agreement so it matches the purchase agreement or lease.

Get written consent, or confirm in writing that consent is not needed. Then sign and deliver notice.

Confirm post-closing items: new payment details, notice to vendors or tenants, and signed copies on file.

Timing varies. It depends on how fast the other party responds and on the notice periods in the contract. Build those periods into your closing date.

Signatures can be electronic. An electronic signature can sign a writing and has the same effect as a written signature, unless the law provides otherwise (Fla.
