KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. We help business owners and investors across Miami-Dade, Broward and South Florida read these clauses, answer demands and decide what to do next. This guide explains how an indemnification clause dispute works in Florida and what to do when a demand arrives.

What an Indemnification Clause Dispute Involves

An indemnification clause moves the cost of certain losses from one party to another. It is a promise written inside a contract.

Most disputes start the same way. A third party sues one business, such as a customer, tenant or client. That business then demands that the other party, such as a vendor, contractor or landlord, cover the loss or pay for the defense.

This page is written for business owners, managers and investors. You may have received a demand letter, a tender of defense or a lawsuit tied to a vendor, customer, landlord or contractor agreement.

Timing matters. Contracts often set notice steps and response windows. Those terms can affect your rights, so review the agreement early, before you reply.

If a demand letter is citing an indemnity clause against your business, you don't have to work out who must defend and who must pay alone. Each part works with the others.

Indemnity obligation. This names who must pay covered losses, such as damages, settlements, attorney’s fees and costs.

Duty to defend versus duty to indemnify. A duty to defend can start when a claim is filed, before anyone decides who is at fault. A duty to pay a loss may come later. The two are not always the same.

Scope. The clause may cover only third-party claims. It may also cover direct claims between the two parties.

Notice and tender. The clause may say how and when the other side must be told, and when control of the defense passes over.

Limits and carve-outs. Some clauses cap the amount, exclude certain losses or end after a set time.

Read each part against the others. A clause that looks broad can narrow once the exclusions and notice terms are added.

How Florida Law Shapes Indemnity Disputes

Florida law sets some rules outside the contract. These include time limits, fee rules and where a case can be filed. The clause’s wording still drives most of the answer.

Time limits. A contract cannot shorten the time to sue below the statute of limitations. A provision that does is void (Fla. Stat. § 95.03).

Attorney’s fees. Florida generally follows the American Rule. Each side pays its own lawyer unless a contract or statute says otherwise (Price v. Tyler).

Fee-shifting clauses. If a contract lets one party recover fees for enforcing it, the court may also allow fees to the other side when that side wins, for contracts entered into on or after October 1, 1988 (Fla. Stat. § 57.105).

Where to file. Florida generally requires suit in the county where the defendant resides, where the cause of action accrued or where the disputed property is. Actions against nonresidents are handled differently (Fla. Stat. § 47.011).

Goods the business bought. After accepting goods, a buyer must notify the seller of a breach within a reasonable time. Otherwise the buyer may be barred from any remedy (Fla. Stat. § 672.607).

Arbitration. Florida generally treats a written arbitration agreement as valid, enforceable and irrevocable, except on a ground that exists at law or in equity for revoking a contract (Fla. Stat. § 682.02).

Insurance often sits alongside the clause. Check the policy, any additional-insured status and whether the insurer must defend. Whether any of these rules helps or hurts you depends on the facts.

How KEW Legal Handles an Indemnification Dispute

We review the contract, the claim papers and the insurance together. Then we recommend a response before any deadline passes.

Intake. Collect the contract, all amendments, the demand letter or complaint, and the insurance policies and certificates.

Clause review. Identify the defense duty, the payment duty, notice terms, caps, carve-outs and any deadlines.

Response. Options may include a written tender or rejection, a reservation of rights, or a request for more information.

Coordination. Work with the insurers. If your business is a defendant in the underlying suit, coordinate with litigation counsel. That lawyer may come from another firm.

Resolution. Negotiate the indemnity question or, if needed, file in court to resolve it.

The first consultation is the starting point. How long each stage takes depends on the contract and on whether the underlying suit is already pending.

Why Work With KEW Legal on Contract Indemnity Issues

KEW Legal works as outside general counsel. Insurance is a policy issued by an insurer.
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Is indemnification the same as insurance?

No. An indemnity clause is a contract promise. Insurance is a policy from an insurer, and the two often work together.
</details><details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Do I have to pay for the other side’s defense if my contract says so?

The clause’s exact words decide this. Some clauses require a defense once a claim is filed. Others only cover losses later.
</details><details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
What if the contract has no indemnity clause?

Other contract terms and Florida law may still apply. The answer turns on the whole agreement.
</details><details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Can I reject a tender of defense?

You can respond in writing. Accepting, rejecting or reserving rights each has consequences, so review the choice before you reply.
</details><details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
How soon should I act?

Act early.
