KEW Legal offers this as outside general counsel for business owners and investors in Miami-Dade and South Florida, from offices in Coral Gables and Sunny Isles Beach. This page explains what the arrangement covers, how it starts, and who it fits.

What Fractional General Counsel Means for a Florida Business

Fractional general counsel is ongoing legal oversight for a company, provided by an outside lawyer on a set monthly schedule.

The lawyer serves as the company’s legal function. They review contracts, advise on employee and owner questions, and weigh in before major decisions. Problems are easier to handle while they’re still small.

Project-only work runs differently. You call a lawyer when a problem appears, and each question starts from the beginning. A monthly arrangement gives steady access and a lawyer who learns how your company runs.

Florida companies also carry recurring filing duties.

KEW Legal provides this as outside general counsel from its Coral Gables and Sunny Isles Beach offices, for businesses across Miami-Dade and South Florida. For a company with owners, employees and leased space, these questions rarely come one at a time.

If a lease renewal with unclear terms, a partner who has gone quiet, or a vendor dispute that keeps coming back is on your desk, our team is ready to talk it through with you. For an LLC, the operating agreement governs relations among members and the company. The statute fills in where the agreement is silent. An operating agreement cannot excuse bad faith, willful or intentional misconduct, or a knowing violation of law.

Chapter 83 covers nonresidential tenancies under Fla. Stat. § 83.001. Under Fla. Stat. § 83.20, a tenant who stays after a rent default can be removed after 3 days’ written notice. For other material lease breaches that a tenant holding over without permission fails to cure, 15 days’ written notice is required, though the notice may give a longer time to cure or surrender the premises; this applies only when the lease is silent on the matter or the tenancy is an oral one at will. A landlord starts the case by filing a complaint in the proper court of the county where the premises are, under Fla. Stat. § 83.21. Under the court order, the tenant is generally required to deposit the rent alleged as unpaid, and rent accruing during the case, into the court registry, unless the tenant has raised the defense of payment or satisfaction; even then, the court may, in its discretion, order accruing rent paid in, as Fla. Stat. § 83.232 explains. Failing to do so is treated as an absolute waiver of the tenant’s defenses.

For employers, Fla. Stat. § 448.102 bars retaliation against an employee who objects to a practice that violates a law, rule or regulation. Under Fla. Stat. § 448.102(1), which covers disclosures to a governmental agency, the protection applies only if the employee first raised the activity, policy, or practice in writing with a supervisor or the employer and gave the employer a reasonable opportunity to correct it. That written-notice condition does not apply to objecting to, or refusing to participate in, a practice that violates a law, rule, or regulation under subsection (3). Handbooks carry a trap too.

For a business sale, Fla.
