Wilson · Published October 22, 2026

A vendor agreement is the written contract that sets what a supplier or service provider will deliver, what you will pay, and when each side must act. If you need a vendor agreement drafting attorney in Miami-Dade, KEW Legal reviews vendor forms and drafts new agreements for business owners as outside general counsel. This page covers the terms that matter most and the vague language that leads to disputes.

What a Vendor Agreement Does and Who Needs One

A vendor agreement sets the scope, price, timing and responsibilities between your business and the company that supplies goods or services to it. It matters most in four situations: recurring supply, high-dollar services, exclusive or distribution arrangements, and vendors who will access customer data or your premises.

Many vendor deals start with an email, a purchase order or a handshake. Florida law recognizes that a contract for the sale of goods can be made in any manner that shows agreement, including conduct by both parties (Fla. Stat. § 672.204). That flexibility is why an informal deal can become binding before anyone planned for it.

For goods priced at $500 or more, the law generally requires a record signed by the party a claim is brought against, with exceptions (Fla. Stat. § 672.201). Electronic signatures generally carry the same effect as handwritten ones (Fla. Stat. § 668.004). For more on informal exchanges, read whether an email agreement is binding in Florida.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Core Terms a Drafted Vendor Agreement Should Cover

A strong vendor agreement defines the work, the money, the deadlines, the exit and the risk. Each term should be clear enough that two people reading it reach the same answer.

Scope and deliverables: what the vendor provides, quantities, specifications and how you accept the work.

Pricing and payment: the price, payment schedule, invoice rules, late-payment terms and how price changes happen.

Deadlines: delivery or performance dates and what happens when they are missed.

Termination: notice periods, cure rights and which duties survive the end of the deal.

Warranties and liability: quality promises, indemnity (one party covering the other’s losses), insurance and any cap on liability.

Confidentiality and data: who owns the work product and how customer information is protected.

Disputes: governing law, venue, whether to use arbitration and who pays attorneys’ fees.

Florida law lets parties choose governing law when a transaction bears a reasonable relation to Florida and also to another state or nation (Fla. Stat. § 671.105). Venue is a separate question. Florida’s venue statute says actions shall be brought only in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located, and it does not apply to actions against nonresidents (Fla. Stat. § 47.011). Fee terms matter because each side generally pays its own attorneys’ fees unless a contract or statute provides otherwise (Price v. Tyler (Fla. 2004)).

Vague Terms That Lead to Vendor Disputes

Most vendor disputes start with terms nobody defined. Gaps around acceptance, warranties, renewals and liability create the arguments.

Acceptance: When the contract does not say how work is accepted, the vendor and the business often disagree about whether a bill is due.

“As is” language: Expressions such as “as is” or “with all faults” exclude implied warranties unless the circumstances indicate otherwise (Fla. Stat. § 672.316). Read that phrase closely before you sign.

Vendor forms: Between merchants, a vendor’s extra terms can become part of the deal unless the offer limits acceptance to its own terms, the terms materially change the deal, or you object within a reasonable time after notice of them is received (Fla. Stat. § 672.207).

Written confirmations: Between merchants, a written confirmation that is received within a reasonable time, and that the receiving party has reason to know the contents of, can meet the signed-record rule unless you object in a record within 10 days after you receive it (Fla. Stat. § 672.201).

Breach notice: After you accept goods, you must notify the seller of a breach within a reasonable time after you discover or should have discovered it, or you are barred from any remedy (Fla. Stat. § 672.607).

Renewals and price increases: Notice windows and escalators buried in fine print are easy to miss. Calendar every notice date when you sign.

A court can refuse to enforce an unconscionable term. Florida courts look at both how the deal was made and how unfair the terms are (Basulto v. Hialeah Automotive). Clear drafting reduces room for disagreement, though it cannot stop every dispute.

How KEW Legal Drafts and Reviews Vendor Agreements

KEW Legal reviews a vendor’s form or drafts a new agreement in five steps, starting with a consultation. The timeline depends on the complexity of the deal and how quickly the other side responds.

Consultation. We learn about your business, the vendor relationship, the deal economics and any draft or email exchanges already in place.

Review. We read the vendor’s form or your draft and flag terms that favor one side or leave gaps.

Drafting or revision. We draft or revise the agreement and explain the reason for each key provision.

Negotiation support. We advise which terms are worth holding firm on and which can give.

Final review and tracking. We review the final version before signing, then help you store it and track notice, renewal and termination dates.

As outside general counsel, KEW Legal can review a vendor agreement alongside your lease, employment questions or ownership issues. That helps when one vendor’s terms touch several parts of the business.

Why Work with KEW Legal on Vendor Agreements

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. It serves business owners and investors across Miami-Dade and South Florida.

The firm focuses on business contracts, partnership disputes, commercial leases and related business transactions. Kristina E. Wilson is the responsible lawyer for this page. The firm’s lawyers include Kristina E. Wilson and Natalie Martinez.

Our lawyers handle outside general counsel work for business clients, so contract questions stay connected to the rest of your company’s legal needs. Our assistants and office staff keep files organized and help with scheduling.

Questions Owners Ask Before Signing a Vendor Agreement

Most owners ask whether they need a lawyer, what happens after work starts, and where a dispute would be heard.

<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Do I need a lawyer to review a vendor’s standard form?

Standard forms are written by the party that drafts them.
