Start with the contract itself. Its termination, notice, cure, dispute, and fee clauses decide what you must do and how much risk you carry. An exit without those steps can leave your business as the party in breach.

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. This page is for owners, managers, and investors who want out of a vendor agreement.

Common examples include IT support, cleaning, marketing, logistics, and maintenance contracts. Many readers did not sign the original deal. They inherited it when they bought a company or took over a property.

An exit is rarely just a letter. Three things shape the result:

The contract’s own exit procedure.

How both sides have actually behaved, including emails and invoices.

The timing rules that apply if the matter becomes a lawsuit.

Below, you’ll find the clauses to read first, the difference between the two main types of exit, pre-suit steps, and common questions.

If a vendor deal has gone sour, you don't have to work out the exit alone. They control the next step.

Termination clause. Does it allow exit for convenience, for cause, or both? Is there a minimum term or an early-termination fee?

Notice clause. Check the delivery method (certified mail, email, or courier), the address, and the deadline. A notice sent to the wrong address can fail.

Cure clause. This gives the other side a set time to fix a breach before termination takes effect.

Dispute clause. Look for required negotiation, mediation, or arbitration. Under Fla. Stat. § 682.02, a written agreement to arbitrate is generally valid and enforceable.

Fee clause. If the contract lets one side recover attorney’s fees for enforcing it, the court may also allow fees to the other side if it wins.

Renewal language. Auto-renewal terms can lock you into another term if you miss the notice date.

Check the time limit to sue, too. Under Fla. Stat. § 95.03, a contract term that shortens the period to sue below the statute’s period is void.

Termination for Convenience Versus Termination for Breach

Termination for convenience ends a contract without fault on either side. Termination for breach ends it because the other side failed a key duty.

Convenience exits usually need written notice within the time the contract sets. They may carry a fee or a notice period.

Breach exits usually need notice of the problem and a chance to cure, as the contract describes.

The label matters. If the contract allows exit only for cause, a convenience exit can make your business the party in breach. Send the right kind of notice, and send it on time.

Before you choose a label, confirm whether any Florida law gives a cancellation right for your type of contract. That check depends on the contract’s subject and the parties involved.

Can You Exit When the Other Party Has Breached, and What Follows?

When a vendor or business partner fails to perform, it can help to review the written agreement and the surrounding circumstances with a lawyer before deciding on a next step. A small problem that gets fixed usually won’t justify ending the deal.

Skipping the cure procedure creates exposure. The other side can argue you ended the deal too early.

Expect possible claims after a breach-based exit. These can include damages, counterclaims for unpaid invoices, and disputes over deposits and final payments.

Keep records that show why you ended the deal:

Written communications and the notices you sent and received.

Invoices and payment history.

Performance reports, delivery records, or service logs.

For a broader view of what to do when a contract goes wrong, read What to Do When a Business Contract Goes Wrong in Florida.

Pre-Suit Steps: Notice, Demand Letters, Negotiation, and Mediation

Most business contract exits move through notice and negotiation before anyone files suit. Mediation often sits in between.

Contract review and written notice that meets the contract’s requirements.

A demand letter or negotiated exit covering fees, deposits, transition work, and final payments.

Mediation, when the contract requires it or both sides agree.

A lawsuit or arbitration, if nothing resolves the dispute, under the contract’s terms.

Timing matters at every step. The timing of an unwritten agreement dispute should be reviewed promptly.

A cause of action starts to run when its last element occurs.

Florida law generally requires a court to refer a filed money-damages case to mediation when one party asks, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties; listed exceptions apply. Exceptions apply, including parties who have agreed to binding arbitration.

Mediation communications are generally confidential. Written communications in a mediation proceeding, other than a signed settlement agreement, are exempt from chapter 119, so a signed written settlement reached in mediation is not protected that way.

Oral and Partly Written Agreements: What Still Counts

An oral service agreement can still be a contract, but proof is harder.

When a deal is only partly written, the parties may later disagree about which terms they actually agreed to. A signed proposal, a purchase order, and emails can all shape the terms. Gather every document before you act.

An informal exit by text or phone often leads to disputes. Those disputes usually focus on whether notice was valid and what final payment is owed. Use the notice method the contract requires.

Before you send any termination notice, write down the terms both sides accept. A short written summary can reduce confusion about what was agreed.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Frequently Asked Questions and Next Steps With KEW Legal

Review the renewal, notice, and breach language first.
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
Do I need a lawyer to send a termination notice?

A lawyer can review the notice before it goes out.
