Wilson · Published October 21, 2026

When a Vendor Fails to Deliver or Perform in Florida

A vendor that misses a delivery date, ships goods that don’t match the order, or stops work partway through may have broken the contract. Whether it did turns on the written agreement and the reason for the problem.

This page is for business owners, managers, and anyone running a business for someone else who now faces a vendor that failed to deliver or finish the job. It explains how Florida businesses usually analyze these problems, so you know what to gather and when to act.

Many owners assume any missed promise is automatically a legal claim. That is not how these cases usually work. The contract’s exact words, the timing, and the vendor’s reason all matter.

Start with the contract. Check the scope of work, the price, the delivery date, and what counts as acceptance. A late delivery is not always a breach. A signed extension, a clause that excuses delay, or a change the business asked for can change the answer.

If a supplier missed a deadline and your operations have stalled, you don't have to sort out the contract and the proof alone. Each group can point to a different claim and different evidence.

Late delivery. The vendor misses a date or a milestone in a service agreement.

Wrong or defective goods. Items don’t match the agreed specifications, quantity, or quality.

Incomplete or abandoned work. A contractor leaves a job unfinished or does it poorly.

Silence after payment. The business pays a deposit, and the vendor stops answering calls and emails.

Vendor insolvency. The supplier runs out of money or shuts down before it delivers.

Excuse claims. The vendor says an event outside its control stopped performance. Whether a force majeure clause applies turns on its exact wording.

Can You Sue a Vendor for Breach of Contract in Florida?

Yes, a business can often sue a vendor for breach of contract in Florida when the agreement is valid and the vendor did not perform as promised. Timing and the type of contract matter a great deal.

Start with the clock. Florida law sets time limits for bringing an action on a contract that is not founded on a written instrument, including an action for the sale and delivery of goods, and the applicable deadline depends on the facts of each matter. That includes an action for the sale and delivery of goods. Claims on written contracts fall under a different period in the same statute, so check which one fits your deal early.

A contract cannot cut that time short. Under Fla. Stat. § 95.03, a contract provision that sets a shorter period to sue than the statute allows is void.

For sales of goods, Florida’s sale-of-goods rules in chapter 672 may apply. Under Fla. Stat. § 672.314, goods sold by a seller who is a merchant with respect to goods of that kind generally carry an implied promise that they are merchantable. Those goods must be fit for their ordinary purposes, unless the contract excludes or changes that promise.

Under Florida’s American Rule, each side generally pays its own attorney’s fees unless a contract or statute says otherwise, as the Florida Supreme Court in Price v. Tyler explains. If a contract entered into on or after October 1, 1988 lets a party recover fees for enforcing it, Fla. Stat. § 57.105 may let the court award fees to the other side when it prevails.

What Evidence Is Needed to Prove a Vendor’s Breach

A strong case rests on a clear paper trail. Gather these items before you contact the vendor again.

The full signed agreement, purchase orders, quotes, change orders, and amendments.

Proof you held up your side, such as payment records, deposits, and confirmation that you were ready to accept delivery.

Dated emails, texts, and call notes showing the deadline and each missed promise.

Delivery records, photos, inspection notes, and written rejections or acceptance notices.

Damage records, such as replacement invoices, rush shipping charges, and lost sales you can document.

Put the facts in a one-page timeline. It lets everyone see the dispute in order, including a mediator or a judge.

Get the deal in writing, too. Under Fla. Stat. § 672.201, a contract for goods priced at $500 or more generally must be backed by a record signed by the party you want to hold to it. A verbal deal is harder to enforce for that reason.

What Happens When a Vendor Fails to Complete Its Obligations

Most vendor disputes move in stages, and early steps can affect later options. The process usually starts with the contract and a written demand.

Read the contract first. Look for notice requirements, cure periods, termination rights, and dispute steps the parties agreed to follow.

Send a written demand. It should name the breach, the contract term involved, the deadline to fix it, and the remedy you want.

Negotiate. Settlements often include a completion schedule, a credit, or a refund plan.

Consider mediation. Under Fla. Stat. § 44.102, when one side asks, a court generally must refer a filed damages case to mediation, if the requesting party can pay or the costs can be split fairly. Under Fla. Stat. § 44.102, a court must, upon request of one party, refer to mediation any filed civil action for monetary damages, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties, unless an exception applies, such as an action filed for the purpose of collecting a debt. Mediation communications are generally confidential under Fla. Stat. § 44.405.

File suit if needed. Venue generally depends on where the defendant resides, where the claim arose, or where the property is located, under Fla. Stat. § 47.011. That section does not apply to suits against nonresidents, so an out-of-state vendor needs separate review.

If the contract has an arbitration clause, Fla. Stat. § 682.02 says a written agreement to arbitrate is generally valid and enforceable. Fla. Stat. § 45.061 sets a 45-day period for written settlement offers, but by its own terms it does not apply to causes of action that accrue after its effective date, so it will not govern most current vendor disputes. Fla. Stat. § 45.061 reads: “The offer shall remain open for 45 days unless withdrawn sooner by a writing served on the offeree prior to acceptance by the offeree.”

Protect Your Position Now and Which Lawyer Handles These Disputes

Start with records. Keep one running log of dates, promises, and calls. Send important notices the way the contract requires, and keep proof of delivery, such as certified mail.

Be careful with payment. Don’t pay a disputed invoice without a written note that you reserve your rights, unless the contract requires otherwise. If you accepted goods, Fla. Stat. § 672.607 says you must notify the seller of the breach within a reasonable time after you discover or should have discovered it, or you may be barred from any remedy.

Plan for operations. A backup supplier keeps the business running during a dispute. Take reasonable steps to keep your losses from growing.

KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach.
