Under Fla. Owners starting a new business often do. So do co-owners forming a joint venture, and investors who want property or contracts held in a separate company. Owners who bought into a company someone else filed also need to understand it.

Registration creates the entity. It does not decide how owners share profits, vote, or leave. The operating agreement covers that. Under Fla. The agent must accept the role in writing. The agent receives legal papers and official notices for the LLC.

Management structure. The articles can say whether the LLC is manager-managed. They can also list the managers, or the members in a member-managed company.

If the articles say nothing about management, the LLC is member-managed.

State fees are set by statute. Under Fla. Stat. § 605.0213, filing original articles costs $100. The same section lists $25 to designate or change a registered agent, $50 for an annual report, and $5 for a certificate of status.

How the Filing Works: Online vs. Mail and the Timeline

Most owners file online through the Sunbiz business filing site, the state’s official system. You can also mail the articles to the Division with the fee. Online filing is generally the faster route because it skips mail delivery.

Here is the usual order of steps.

Choose the name, principal office, and registered agent. Get the agent’s written acceptance.

Decide the management structure. List the managers or members the articles require.

Confirm acceptance. The LLC forms once the articles take effect and a member exists.

Order a certificate of status if a bank or lender asks for one. It shows whether fees are paid and whether the annual report is filed, under Fla. Stat. § 605.0211.

Then calendar the annual report. Under Fla. Stat. § 605.0212, the first report is due between January 1 and May 1 of the year after the articles took effect. Later reports fall in that same January-to-May window each year.

Why the Operating Agreement Matters for Partnership Disputes

The operating agreement settles the rules the state filing leaves out. Most partnership fights trace back to gaps in these rules, not to the filing itself.

Money in and money out. Distributions before dissolution follow the agreed value of each owner’s contributions, as stated in company records, under Fla. Stat. § 605.0404, and an owner has a right to an interim distribution only if the company decides to make one. Accurate records matter.

Who decides. In a member-managed LLC, the members run the company. In a manager-managed LLC, the manager decides matters, as § 605.0407 explains.

Transfers. An owner may transfer an interest, but the buyer gets no management rights just from the transfer. A transfer that breaks an operating agreement’s restriction on transfer is ineffective against anyone who had knowledge or notice of the restriction at the time of the transfer, under Fla. Stat. § 605.0502.

Limits. An operating agreement cannot excuse bad faith, willful misconduct, or a knowing violation of law, per § 605.0105.

Common gaps include contributions that were never written down, no plan for how owners break a tie, and no exit terms. Confirm the registered agent and principal address with every co-owner. Those details appear in public records.

Why Owners Choose a Florida LLC

Owners usually choose an LLC to separate company debts from personal finances. They also want to set management their own way.

Liability. Under Fla. Stat. § 605.0304, a company debt is solely the company’s. A member or manager is not personally liable for it just by holding that role.

Limits of that rule. The protection covers liability that comes only from the role. It does not cover a personal obligation an owner signs for.

Management. You choose member management or manager management in the articles or operating agreement.

Public record. The annual report lists the principal office and at least one person with authority to manage the company, per § 605.0212. Privacy is limited.

Notices. Legal notices can go to the registered agent at the Florida registered office, under § 605.0117.

Tax treatment. Tax treatment turns on the number of owners and any elections made. Plan for it before you file.

Common Questions About Florida LLC Registration

Most questions come down to a few filing items, a yearly report, and the owners’ plans.
<details class="wp-block-details chg-faq is-layout-flow wp-block-details-is-layout-flow">
What do I need to register my LLC in Florida?

You need articles of organization, a principal office address, and a Florida registered agent who has accepted in writing.
