Wilson · Published October 21, 2026

A non-compete agreement lawyer for Florida employers helps a business write a restriction a court will enforce, and helps act when a former worker breaks it. Florida courts test these clauses under Section 542.335. This guide explains those tests in plain words, walks through how enforcement usually moves, and shows where outside counsel fits. It is written for business owners, managers and sellers in Miami-Dade and Broward County.

What a Non-Compete and Non-Solicitation Agreement Is

A non-compete stops a worker or seller from joining a competitor or starting a competing business for a set time and area. A non-solicitation clause is narrower. It stops contact with specific customers, clients, or co-workers, but it does not bar the work itself.

Confidentiality clauses protect information, such as pricing, client lists and internal processes. They are related to a non-compete but separate from it. A confidentiality clause does not stop someone from working in the field.

Trade secrets have a legal definition. Under Fla. Stat. § 688.002, a trade secret gets its value from not being generally known, and the owner must take reasonable steps to keep it secret.

Owners use these clauses to protect client relationships, pricing and know-how. Buyers and sellers use them too. In a sale, the seller often agrees not to compete after closing. These clauses appear in employment agreements, offer letters, separate covenant agreements and purchase agreements.

If you're weighing a non-compete for a new hire, or a former employee is taking clients with them, our team is ready to talk through your situation. The general statute on restraints of trade says such contracts are unlawful, but Section 542.335 allows reasonable covenants. The main tests are these:

Writing. A court will not enforce the covenant unless the person it binds signed it.

Legitimate business interest. The party seeking enforcement must prove one. The statute lists trade secrets, valuable confidential information, substantial customer relationships, and a specific marketing or trade area. A covenant without one is void.

Reasonable necessity. The restraint must be reasonably necessary to protect that interest.

These presumptions can be rebutted.

Modification. If a restraint is too broad, the court shall modify it and grant only the relief reasonably necessary.

Modification matters. But the employer may end up with less protection than it wanted.

Two federal points also matter.

What the Agreement Can Cover

A strong agreement names the time, the place, the restricted activity, and the business interest behind each one.

Duration. Tie the length to a real business need. Stay within the time presumptions unless you have a clear reason not to.

Territory. Use the places the business works or where the employee actually worked. A statewide limit for a local role invites a challenge.

Restricted activities. Spell out competing employment, owning a competing business, and soliciting named customer groups.

Non-solicitation. Cover recruiting former co-workers, and contact with vendors or referral sources the business relies on.

Confidentiality. List the categories: client lists, pricing, sales pipelines, and internal processes.

Consideration. State what the worker receives in exchange, such as the job itself.

Sale covenants. A seller agrees not to compete with the buyer after closing. These follow the same statute but different timing rules.

Drafting an Agreement That Holds Up

Start with the business interest, then fit the restriction to it. A covenant that protects nothing specific is easy to challenge.

Document the interest. Note the customer relationships, trade secrets, or confidential information the clause protects.

Avoid one template for every role. A sales lead and a bookkeeper rarely need the same restraint.

Write in plain terms. Both sides should know exactly what is barred.

Get a signature. A court will not enforce a covenant the bound person did not sign in writing.

Don’t rely on the handbook. Florida courts do not treat handbook policy statements as enforceable contract rights unless the manual says it is a separate employment contract, per Quaker Oats Co. v. Jewell.

Watch for unfair terms. Under Basulto v. Hialeah Automotive, a court refuses a term only when it is both procedurally and substantively unfair. A rushed, one-sided signing process raises that risk.

Keep records. Save signed copies and proof of delivery.

Review when roles change. A clause written for an old product line may no longer fit.

When a Former Employee Breaches: How Enforcement Works

Enforcement usually starts with the signed agreement and written proof of the conduct. The path below is the common sequence. Timing depends on the court’s schedule and on whether urgent relief is needed.

Gather the record. Collect the signed agreement, the person’s role and system access, and evidence such as customer messages.

Send a written demand. Name the specific clause and the conduct. A clear demand often narrows the dispute.

Assess urgent relief. If the conduct is ongoing and harm is likely, decide whether to ask a court for temporary relief. For trade secrets, Florida allows an injunction against actual or threatened misappropriation, per Fla. Stat. § 688.003.

Negotiate. Common outcomes include a narrower restriction, a written promise to stop, or a payment term.

Litigate if needed. If talks fail, the matter goes to court.

Interference claims need a real relationship. A business can claim interference with present or prospective customers. It must show an identifiable agreement that would likely have closed without the interference, per Ozyesilpinar v. Reach PLC.

Employees and sellers often raise overbreadth, a missing legitimate business interest, unconscionability, or a dispute over which document is the real agreement. Employers have limits too. Florida is an at-will state, so either side may end employment for any reason, per Gessner v. Southern Co.. But an employer cannot fire someone for a reason the law prohibits, such as retaliation, per Laguerre v.
