If you pay people on 1099 forms and aren’t sure they’re truly contractors, a classification review shows where your risk sits. Looking for an independent contractor misclassification lawyer Florida businesses can consult? KEW Legal reviews these relationships from its offices in Coral Gables and Sunny Isles Beach, serving Miami-Dade, Broward and South Florida.

What a Classification Review Is and Who Needs One

A classification review is a legal check of whether each worker is an independent contractor or an employee. It looks at each worker’s actual role, not just the paperwork.

A review fits owners who:

Pay 1099 workers for ongoing work

Recently moved staff to contractor status

Add freelancers, drivers, sales reps or installers

Plan a sale, a succession transfer or an investor deal

A review is most useful before a dispute, audit or claim starts. One factor is whether the contractor holds bank accounts in the business entity’s name for business expenses.

Federal wage law. Florida’s minimum wage provision incorporates sections 213 and 214 of the federal Fair Labor Standards Act as interpreted by applicable federal regulations and implemented by the Secretary of Labor.

Because each test asks something slightly different, a review checks all of them.

Common Red Flags in Miami-Dade and South Florida Businesses

The strongest warning signs involve control, pay structure and exclusivity. Each one can point toward employee status.

Set schedules: required hours, daily check-ins or fixed shifts.

Hourly or weekly pay: instead of a project fee for a defined result.

Company tools and branding: work done with company vehicles, software or uniforms, or under the company’s name.

Exclusivity: the worker can’t take other clients, or is bound by a non-compete.

Long, open-ended work: the role runs for years and is part of the core business.

Supervision: training, performance reviews or discipline.

Terms set by the business: the worker has little room to profit or lose through their own choices.

Drivers, installers, sales reps and freelance staff can show several of these signs at once. Those roles are usually the first place a review looks.

What a KEW Legal Classification Review Covers

A review covers the paperwork, the pay records and each worker’s actual role, one worker or role at a time.

Documents: contractor agreements, offer letters, invoices, job descriptions, handbooks and policies.

Worker-by-worker analysis: each role is checked against the tests above, not forced into one answer for the whole company.

Pay and tax records: 1099 and W-2 history, withholding practices and payment methods.

Exposure assessment: possible unpaid overtime, payroll and reemployment tax issues, and workers’ compensation gaps.

Written recommendations: what to keep, change or document going forward.

Prospective planning: contract revisions, payroll set-up or process changes, where the facts support them.

Contractor exclusivity often sits in a non-compete.
