In Florida, restrictive covenants are enforceable when they are reasonable in time, area, and line of business, are supported by a legitimate business interest, and are set forth in a writing signed by the person against whom enforcement is sought. If you need a non-compete agreement attorney in Miami, this page explains the basics.

This page is the responsibility of Kristina E. Wilson at KEW Legal, with offices in Coral Gables and Sunny Isles Beach, Florida.

What Non-Compete and Non-Disclosure Agreements Are and Who They Protect

A non-compete limits a person from competing with a business after the job or deal ends. Related agreements do narrower jobs.

Non-compete: limits working for or starting a competing business for a set time and in a set area.

Non-solicitation covenant: limits recruiting staff or pulling customers away from the business.

Non-disclosure agreement (NDA): limits sharing confidential information, such as pricing or vendor terms.

Employers use these agreements most often. Owners selling a company, investors, and partners in closely held businesses use them too. You’ll find them in employment agreements, standalone contracts, partnership or operating agreements, and sale-of-business documents.

An NDA protects information. A non-compete restricts activity. Don’t rely on the title alone. A document called a confidentiality agreement can still limit competing work, depending on its wording.

If a former worker took your clients, or you were handed a new non-compete at closing, our team can review the signed agreement with you. Vague terms invite challenges.

Scope of activity: the work or business restricted, described specifically. Naming the services the worker actually performed is clearer than “any similar business.”

Duration and territory: the time period and geographic area. Florida courts review both for reasonableness in time, area, and line of business.

Confidential information: examples such as customer lists, pricing, sales pipelines, and vendor terms.

Non-solicitation terms: separate promises not to recruit staff or pursue customers.

Remedies and disputes: whether the agreement addresses injunctions, venue, and fees.

Return of property and notice: what the worker must hand back at separation and how notice works.

Florida also requires a writing. A court will not enforce a restrictive covenant unless it is set forth in a writing signed by the person against whom enforcement is sought (Fla. Stat. § 542.335).

Is a Non-Compete Enforceable in Florida?

Yes, a non-compete can be enforced in Florida when it meets Fla. Stat. § 542.335. A restrictive covenant not supported by a legitimate business interest is unlawful, void, and unenforceable.

Business interest first. The party seeking enforcement must plead and prove the restraint is reasonably necessary to protect that interest.

Time presumptions for employees. For a former employee, agent, or independent contractor, a restraint of 6 months or less is presumed reasonable. A restraint over 2 years is presumed unreasonable. These presumptions can be rebutted.

Overbroad terms get trimmed. A court shall modify an overbroad or overlong restraint and grant only the relief reasonably necessary.

Doubt doesn’t automatically favor the worker. A court construes the covenant in favor of reasonable protection of the business interests.

Florida also has separate rules for “covered” agreements added in 2025. A covered employee (an employee or individual contractor) earns or is reasonably expected to earn a salary greater than twice the annual mean wage of the county in Florida where the covered employer has its principal place of business, or where the employee resides if the employer’s principal place of business is not in Florida, but the term does not include a person classified as a health care practitioner as defined in s. 456.001 (Fla. Stat. § 542.43). Those agreements must follow the rules in Fla. Stat. § 542.45, including written notice of the right to seek counsel before signing.

Which state’s law governs a business agreement usually depends on the contract’s terms and the facts, but Fla. Stat. § 542.45 applies to a covered noncompete with a covered employee whose primary place of work is in Florida, regardless of any choice-of-law clause.

How We Handle a Non-Compete or NDA Matter

We start with the signed document and the facts behind it, then pick the right path. Each matter follows a clear sequence.

Intake and document review. We review the signed agreement, any amendments, the worker’s duties, and why the relationship ended.

Interest and scope check. We look at what the business is protecting. Then we test whether the time, area, and activity fit that interest.

Drafting or revising. For new hires, owners, or a sale, we tailor covenants to the role instead of using one form for everyone.

Enforcement or defense. This can include a demand letter, negotiation, or a request for a temporary injunction in court.

Ongoing guidance. We update agreements when roles, ownership, or deal terms change.

How long each step takes depends on whether a court filing is needed and how fast the other side responds.

Enforcing or Defending a Covenant in Court

A business that wants to stop a former worker often asks a court for a temporary injunction, which is a court order that pauses the activity while the case moves forward.

Presumed harm. Violating an enforceable covenant creates a presumption of irreparable injury. No temporary injunction shall be entered unless the person seeking enforcement of a restrictive covenant gives a proper bond.

Covered employees. For a covered noncompete, upon application by the covered employer, a court must preliminarily enjoin the employee from providing services to others during the noncompete period. The court may modify or dissolve that injunction only if the employee proves by clear and convincing evidence, based on nonconfidential information, one of the specific showings the statute lists, such as that the employee will not do work similar to what they did for the employer in the 3 years before the noncompete period began, or use the employer’s confidential information or customer relationships (Fla. Stat. § 688.003). A misappropriation claim must be brought within 3 years after it is discovered or should have been discovered (Fla. Stat. § 688.007).

Customer interference. A business may sue over present or prospective customers. The claim needs an actual, identifiable relationship that would likely have been completed without the interference (Ozyesilpinar v. Reach PLC).

Former employees and their new employers may challenge the covenant’s validity, its scope, or the business interest behind it. Emails, client files, and access logs often become central evidence. Preserve them early. Outcomes depend on the agreement and the evidence, and no result can be promised in advance.

Why Work With KEW Legal on These Agreements

KEW Legal focuses on business law for owners, investors, and employers in Miami-Dade and Broward County.

Outside general counsel. The firm reviews covenants alongside employment, contract, and ownership matters, so the agreement fits the whole business.

Two offices. The firm has offices in Coral Gables and Sunny Isles Beach.
