Wilson · Published October 20, 2026

What kind of lawyer do I need to get out of a contract? The answer depends on the type of agreement you signed. A supplier contract, a partnership agreement, a commercial lease, and a purchase contract each call for a different kind of business lawyer. This page explains how to match your contract to the right attorney, the common routes out of a deal, and when a lawsuit is worth weighing. KEW Legal is a Florida business law firm with offices in Coral Gables and Sunny Isles Beach. It acts as outside general counsel for business owners and investors across Miami-Dade and South Florida.

Start with the type of contract you are trying to leave

The right lawyer follows the contract. Start by naming the agreement. Is it a vendor or service contract, a partnership or operating agreement, a commercial lease, an employment agreement, a purchase or sale contract, or a real estate investment contract? Each one lines up with a different practice area at KEW Legal.

Many business agreements are written by the parties themselves. So the signed document, not the label on the deal, decides what happens next. Read the termination, notice, default, and dispute-resolution clauses together. Check every amendment too, because a later change can replace an earlier term.

If you are researching for a partner, a family member, or a company, gather the same papers. Someone who did not sign still needs the full agreement to see the exit path.

If a contract you did not choose is holding up your business or a partner's exit, you do not have to sort it out alone. The core questions are simple to state. Did the vendor break the contract first? Did you follow the notice and cure steps? Does a termination fee apply?

For goods you have already accepted, Florida law sets a firm warning. A buyer must notify the seller of a breach within a reasonable time after he or she discovers or should have discovered it, or the buyer can be barred from that remedy. The buyer also carries the burden to prove the breach. Fla. Stat. § 672.607 provides that the buyer must pay at the contract rate for accepted goods and must notify the seller of any breach within a reasonable time after he or she discovers or should have discovered it, or be barred from any remedy.

A vendor dispute attorney usually reviews the agreement, correspondence, invoices, performance records, and formal notices. Those records often decide whether a termination or a claim holds up. Keep emails, delivery logs, and invoices together from the start.

Partnership and co-owner agreements

A partnership dispute attorney handles exits from jointly owned businesses, including buyouts, withdrawal rights, deadlocks, and what a partner owes the company. Florida law lets a partner leave at any time. But the exit can still be wrongful.

A partner’s exit is wrongful when it breaks an express provision of the partnership agreement, or, for a partnership with a definite term or particular undertaking, when the partner leaves before the term expires or the undertaking is completed and the listed grounds apply. A wrongful partner can be liable for damages the exit causes. Fla. Stat. § 620.8602 lays out those rules.

The partnership or operating agreement often controls the exit path. It can set the valuation method, buy-sell triggers, and notice periods. For an LLC, the operating agreement governs relations among members. Still, under Fla. Stat. § 605.0105, an operating agreement cannot relieve liability for bad faith, willful or intentional misconduct, or knowing violations of law. Fla. Stat. § 605.0105 addresses those limits.

A co-owner who wants out has different options from one who is being pushed out. Your position matters, so describe it precisely. Outside general counsel work can also help a business plan for disagreements before they become a dispute.

Commercial leases and commercial evictions

A commercial lease attorney reviews early termination rights, assignment and sublease clauses, default and cure terms, personal liability commitments by owners, and restoration duties. A commercial eviction attorney handles possession when a tenant stops paying or breaks the lease. KEW Legal handles commercial evictions for owners who live abroad.

Florida law gives a landlord a specific remedy when a tenant will not leave. When a tenant refuses to give up possession at the end of the lease, the landlord may demand double the monthly rent. Fla. Stat. § 83.06 states that right. Rent under a contract also bears interest from the time it is due.

Negotiating a lease exit and running a formal eviction are different processes. They can move on different timelines. A negotiated exit sometimes resolves possession without a court process, but that depends on the tenant’s cooperation. The lease language and the facts decide which path fits. No particular result can be promised.

Employment, acquisition and sale, and investment property agreements

An employment law attorney for employers reviews the agreements that govern workers, while sale and investment lawyers review the terms of a deal before closing. Each type of contract can carry a deadline that runs quickly, so note the dates early.

Restrictive covenants, such as non-compete terms, need a signed writing before a court will enforce them against the person who signed. Florida enforces them when they are reasonable in time, area, and line of business and are supported by a legitimate business interest; if a restraint is overbroad, overlong, or otherwise not reasonably necessary, a court shall modify the restraint and grant only the relief reasonably necessary to protect such interest or interests, and a restrictive covenant not supported by a legitimate business interest is unlawful, void, and unenforceable. Fla. Stat. § 542.335 sets those rules.

Employment decisions also carry legal limits. An at-will employee can be let go at any time. But the employer cannot act for a reason the law prohibits, such as retaliation or unlawful discrimination.

A business acquisition and sale attorney reviews purchase agreements, letters of intent, representations and warranties, closing conditions, and rights to back out before closing. A real estate investment attorney reviews purchase contracts for investment property, including financing contingencies, inspection periods, and deposit terms.

Ways a contract can end, and how fraud or breach can change the answer

The usual routes out are a termination clause, a written notice to cure, a mutual release, a negotiated buyout, or a claim that the other side materially breached. Which route is open depends on the wording and the timing.

Arbitration clauses matter too. If a contract requires arbitration, Florida law treats that clause as valid and enforceable. The exceptions are the grounds that can revoke any contract. A court decides whether an arbitration agreement exists. Fla. Stat. § 682.02 sets out that framework.

Waiting can also cost you. Under the rule of ratification, a party who can cancel a voidable contract may lose that right. This can happen when the party fails to act after learning the facts that justify cancelling.

If the other side misled you when you signed, that can change the analysis. These claims turn on what was said and written at signing, so keep those records. A lawyer will ask the same core questions: Has the other side breached? Is the breach serious enough to matter? Was notice given the right way? Has any cure period run?

Acting on your own can create exposure. Withholding payment or walking away from your own obligations without following the contract’s steps can hand the other side a claim. The timing of each notice matters.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Is it worth suing for breach of contract?

A lawsuit is one option, and often not the first. Many contract disputes resolve through a demand letter, mediation, or a negotiated exit. Those routes often make more sense when the amount is modest or the relationship must continue.

Several factors shape the decision. They include the amount at stake, the contract’s remedy and fee terms, how well the documents support your position, and whether you need the other party to keep working with you.

Fee terms matter. If a contract lets one side recover attorney’s fees for enforcing it, a court may allow reasonable fees to the other side when that side prevails. This applies whether the party was the plaintiff or the defendant. Fee awards also depend on the claim. Fla. Stat. § 542.335(1)(k) provides that, when no contractual provision authorizes an award of attorney’s fees and costs to the prevailing party, a court may still award them to the prevailing party in any action seeking enforcement of, or challenging the enforceability of, a restrictive covenant, and a court will not enforce a contract term limiting that authority.

Time matters too. Florida law treats a contract provision that sets a shorter time to bring an action arising from the contract than the applicable statute of limitations allows as void. Florida also has laches, a rule that can bar a claim not brought within the time the law allows. Waiting can narrow your options.

Whether a lawsuit is worth it depends on the facts. General information cannot predict how a particular dispute will turn out.

Talking through your contract with KEW Legal

A contract you did not choose can leave a business or household stuck, especially when a deadline is close.
