This page explains how those claims work in Florida, the deadlines that matter, and what drives the cost of a dispute. KEW Legal handles business disputes for owners and investors in Miami-Dade and South Florida, with offices in Coral Gables and Sunny Isles Beach.

Yes, you can sue over a bad business deal, but a bad bargain is not always a lawsuit

A bad deal can support a lawsuit when the other side broke the deal or built it on a false statement. A deal that simply lost value is different. If prices fell, a market shifted, or a plan didn’t work out, you may have a bad bargain but no claim against the other side.

The line usually comes down to three questions. Did the other side fail to do something the signed agreement required? Did they state a fact that turned out to be false? Did someone who ran the business put their own interests ahead of the company?

Your own role matters too. The signed agreement, the documents exchanged during the deal, and the messages sent before closing all shape which path is open.

If a partner, buyer, or vendor has left you holding a deal that isn't working, our team can review the agreement and timeline with you. Each one needs its own proof.

Breach of contract. This claim applies when the other side fails to perform a duty in the agreement. Examples include missed deliveries, unpaid amounts, a transfer of assets that never happened, or a price adjustment that was never made.

Fraud.

Breach of warranty. When the deal involves goods, such as inventory or equipment, a seller’s statement of fact about those goods can create a promise. The seller does not need to use formal legal words. Fla. Southern Homes of Palm Beach addresses that rule.

Breach of duty by a member or manager. In an LLC, members and managers owe duties of loyalty and care. Under Fla. Stat. § 605.04091, the duty of care means refraining from grossly negligent or reckless conduct, willful misconduct, or a knowing violation of law.

For the full range of matters we handle, see our business contract and vendor disputes overview.

Florida filing deadlines to know before you wait

When you sue for a bad business deal, the filing clock matters as much as the facts. Florida’s main limitations statute, Fla. Stat. § 95.11, sets time limits for filing suit. Those limits run from different dates depending on the type of claim. Waiting can narrow your options even when the facts are strong.

Several rules make timing tricky:

A contract cannot shorten the deadline. Under Fla. Stat. § 95.03, a contract term that sets a shorter time to sue than the statute allows is void.

Acting after you learn the facts matters. Flaherty v. Flaherty states this general rule.

Notice can be its own deadline. For accepted goods, Fla. Stat. § 672.607 requires the buyer to notify the seller of a breach within a reasonable time after he or she discovers or should have discovered any breach, or be barred from any remedy.

Improper LLC distributions have a two-year limit. Under Fla. Stat. § 605.0406, that action is barred unless it starts within 2 years after the distribution.

Contracts may also require written notice or a claim by a set date. Review those terms right away so no step is missed.

What makes these cases difficult to win

These cases are hard mainly because they turn on proof. The strength of a claim depends on records you can show a judge or arbitrator.

Strong proof usually includes signed documents, emails and text messages, bank and accounting records, closing statements, and notes from people who heard what was said. Verbal promises are harder to prove. Many written deals include a clause saying the document is the complete agreement. That clause can make earlier spoken promises harder to use, so the written terms and pre-signing messages need careful review.

Losses need proof too. Lost profits and a drop in value must rest on financial records and sound math. A projection on a spreadsheet alone may not carry the claim.

Collection is also practical. A judgment helps only if the other side has money or assets to pay it. Checking that early shapes whether a suit makes financial sense. Each case turns on its own facts, so every claim is weighed one matter at a time.

Contract terms that can change the path

Some contract clauses can move a dispute out of court or change the rules that apply. Arbitration is the most common example. Under Fla. Stat. § 682.02, a written agreement to arbitrate existing or future disputes is valid and enforceable, except on a ground that exists to revoke a contract. A court decides whether an arbitration agreement exists and covers the dispute.

Mediation can also be required. Under Fla. Stat. § 44.102, a court must refer a filed civil action for money damages to mediation on one party’s request, if that party is willing and able to pay the costs or the costs can be equitably divided between the parties. Under Fla. Stat. § 44.102, a court, under rules adopted by the Supreme Court, must upon request of one party refer to mediation any filed civil action for monetary damages, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties, unless an exception applies. The exceptions include a landlord and tenant dispute that does not include a claim for personal injury, an action filed for the purpose of collecting a debt, and an action in which the parties have agreed to binding arbitration.

Some harsh terms are hard to enforce.

Other clauses to check include choice of forum and choice of law, notice-and-cure provisions that require written notice and time to fix a problem, and limitation-of-liability clauses that cap recoverable damages.

Costs and timing: what drives them

Cost depends mostly on how complex the agreement is and how far the dispute goes. Several factors add to the total:

How many documents need review.

Whether the matter goes to court or to arbitration.

How much discovery (the exchange of documents and testimony) and motion practice the case needs.

Whether accountants or valuation professionals must review financial records.

Early steps can change the picture. A clear demand letter or settlement talks can sometimes resolve a dispute before costs grow. Under Fla. Stat. § 90.408, an offer to compromise a disputed claim is inadmissible to prove liability or the claim’s value.
