Wilson · Published October 20, 2026

When business partners disagree, the first step is to read the signed agreement. In Florida, that agreement usually controls how owners deal with each other. This guide explains what a partner disagreement is, which documents matter most, what to do before the conflict grows, and how an exit works. It is general information for business owners in Miami-Dade and Broward County.

What Happens When Business Partners Disagree?

A partner disagreement is a conflict between co-owners that they cannot settle on their own. It often involves money, control, daily roles, or the future of the business. Most disagreements don’t start as lawsuits. Many get resolved through the documents, a direct conversation, or a planned exit.

The outcome depends on how the business is organized. Partnerships, LLCs, and corporations are organized in different ways, so the facts of each situation matter. The paperwork the owners signed matters just as much.

Disputes often grow when communication stops, decisions stall, or one partner acts alone. A stalled decision can become a bigger problem over time. Stopping, writing things down, and reading the agreement keeps your options open.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Start With the Governing Documents

The signed agreement is the first place to look. For a Florida partnership, Fla. Stat. § 620.8103 provides that relations among partners are generally governed by the partnership agreement, except as subsection (2) provides. The partnership act applies only where the agreement does not otherwise provide.

For an LLC, Fla. Stat. § 605.0105 says the operating agreement governs relations among members. The same statute also sets limits.

Those duties matter during a dispute. For a partnership, the duty of loyalty means a partner must account for profits from the business. A partner also cannot deal against the partnership or compete with it before dissolution. See Fla. Stat. § 620.8404. For LLC managers and members, Fla. Stat. § 605.04091 sets similar duties of loyalty and care: each manager of a manager-managed LLC and each member of a member-managed LLC owes them.

Look for buy-sell terms, voting rules, deadlock clauses, and mediation clauses. A deadlock sale provision, if one exists, can decide the next step. Gather the signed agreements, amendments, and side letters before you discuss the dispute with your partner.

Common Categories of Partner Disputes

Partner disputes often fall into four groups. These are practical groupings, not a formal legal classification.

Money and capital. One partner wants to fund a new location, and the other says no. Or the partners disagree on how much cash each one must contribute.

Control and decisions. Who signs contracts? Who can open a bank account or hire a manager? Disagreements over authority can stop daily operations.

Roles and performance. One partner feels the other is not doing their share. The agreement may say little about job duties or expectations.

Exit and ownership. One partner wants out, wants to sell, or wants to bring in a new owner. The other partner may not agree to the terms.

One disagreement often spans more than one category. A dispute about roles can turn into a dispute about money. That is why the documents and the timeline matter so much.

Practical Steps Before a Disagreement Escalates

Start by putting the issue in writing. Write a dated, factual summary. List the documents involved and the outcome you want. Keep the tone neutral. This record helps you and your advisors later.

Keep business records complete and current. Bank statements, ledgers, emails, texts, and meeting notes all matter. Florida law requires a partnership to give partners and their agents and attorneys access to its books and records during ordinary business hours.

In a member-managed LLC, a member may inspect and copy records on reasonable notice, during regular business hours and at a reasonable location specified by the company. See Fla. Stat. § 605.0410. The company may still impose reasonable restrictions on how the information is used, but this does not apply to a member’s request for the records described in subsection (1).

Pause any unilateral action until your rights are reviewed. That includes moving money, changing passwords, changing vendor or employee arrangements, or shutting a partner out of management. These moves can create new problems.

Follow any notice, cure, or meeting rules in the agreement exactly. If the agreement calls for mediation, propose it and write down what each side offered. A demand letter may also be part of the process. How it is written can shape later negotiations.

Can a Majority Owner Remove a Minority Partner?

Majority ownership alone does not answer this question. The answer turns on the entity type, the agreement, and the procedure used.

In an LLC, a deadlock can lead to judicial dissolution. Under Fla. Stat. § 605.0702, a court may dissolve an LLC when its managers or members are deadlocked, the members cannot break the deadlock, and irreparable injury is threatened or being suffered. That rule does not apply if the operating agreement has a deadlock sale provision that was started before the court determines the grounds for dissolution exist, so long as the provision is thereafter carried out in accordance with its terms or otherwise pursuant to an agreement of the members of the company. Such a provision may call for a buyout, a governance change, or a sale of the company.

In a partnership, a partner who leaves without dissolving the business triggers a buyout. Under Fla. Stat. § 620.8701, the partnership must purchase the departing partner’s interest at a buyout price set by the statute. If no agreement is reached within 120 days after a written demand, the partnership must pay, in cash, the amount it estimates to be the buyout price and accrued interest, reduced by any offsets and accrued interest under subsection (3).

A minority owner may have rights to notice, information, distributions, or fair value on exit. Check these rights before any action is taken. Whether a specific removal is allowed depends on the facts and the documents involved.

How Partners Legally Exit or Close a Partnership

The main exit paths are a negotiated buyout, a sale of the business, or a voluntary dissolution followed by winding up. The right path depends on what the agreement allows and what the partners agree to.

For an LLC, Fla. Stat. § 605.0709 says a dissolved LLC continues only to wind up its affairs, except as otherwise provided in ss. 605.0708 and 605.0715. Winding up includes paying or providing for debts, settling and closing activities, distributing assets, and transferring title to real estate. The statute also allows settling disputes by mediation or arbitration.

For a partnership, Fla. Stat. § 620.8807 requires partnership assets to go first to creditors. Any surplus goes to partners according to their rights. A partner whose account shows more charges than credits must contribute the difference.

If one partner wants to buy out the other in an LLC court case, timing matters. Under Fla. Stat. § 605.0706, in a proceeding a member starts under s. 605.0702(1)(b), the company (or, if it does not, other members) may elect to buy the petitioner’s entire interest at fair value, filing within 90 days after the petition unless the court allows a later time.

A written exit agreement should cover payment terms, releases, non-solicitation, and transfer of assets. It should also address shared contracts, vendor accounts, and commercial leases. Keeping the business running jointly while the dispute continues can create new liabilities. Talk with vendors and landlords carefully and on purpose.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

When to Talk With a Business Attorney and What to Bring

Talk with a business attorney when the documents are unclear, when a deadlock or removal is raised, or when money or assets are at stake.
