A lawsuit usually rests on a specific breach, such as a broken partnership or operating agreement, a breached duty, or a contract the partner signed for the company. This page explains how Florida law frames those claims for business owners, investors, and family members acting for them.

What “Abandonment” Means When a Business Partner Walks Away

In everyday speech, abandonment means a partner stopped showing up. In a legal setting, the question is different: did the partner break a duty or a promise owed to the business and to you? Missed meetings, skipped work, and unpaid capital are facts. Those facts support a claim only when a rule or an agreement makes the partner responsible for them.

A partner who goes quiet may have a clear obligation to contribute, or may have none at all. The written agreement sets those obligations. Whether the business is a partnership or an LLC also shapes the analysis, so your first job is finding out what each owner agreed to do.

If a partner has stopped working and the business is stalling, you don't have to sort out your options alone. If the partner ignores those terms, that failure can be a breach.

Breach of fiduciary duty. Partners owe only two fiduciary duties to the partnership and to the other partners: the duty of loyalty and the duty of care. The duty of care is narrower: it covers grossly negligent or reckless conduct, intentional misconduct, and knowing violations of law.

Breach of contract. A partner may have signed a vendor agreement, lease, or loan for the company. If that partner then stops performing, the dispute may turn on who is bound and who must perform.

It is separate from abandonment. A partner who simply stays inactive is not automatically negligent.

How Florida Law Frames a Partner’s Duties

Florida law sets default duties for partners and LLC members, and the written agreement can change many of them. Relations among partners are governed by the partnership agreement first. The statute fills in only where the agreement is silent (Fla. Stat. § 620.8103).

The only fiduciary duties a partner owes are loyalty and care (Fla. Stat. § 620.8404). A partner must also act with good faith and fair dealing. For LLCs, each manager of a manager-managed limited liability company and each member of a member-managed limited liability company owes fiduciary duties of loyalty and care to the company and its members (Fla. Stat. § 605.04091).

The agreement has limits. It cannot eliminate the duty of loyalty, but it may identify specific types or categories of activities that do not violate the duty of loyalty, if they are not manifestly unreasonable, and all of the partners (or a number or percentage the agreement specifies) may authorize or ratify, after full disclosure of all material facts, a specific act or transaction that would otherwise violate the duty of loyalty (Fla. Stat. § 620.8103).

Leaving the business is a separate question. A partner has the power to dissociate at any time, rightfully or wrongfully, by express will (Fla. Stat. § 620.8602). That exit is wrongful only in listed cases, such as breach of an express provision of the partnership agreement. A wrongful partner is liable for damages caused by the exit (Fla. Stat. § 620.8602). LLC members follow a parallel rule (Fla. Stat. § 605.0601).

Step 1: Document Everything Before You Act

The first step is to collect records that show what the partner did, what they stopped doing, and what it cost the business. Gather emails, texts, meeting notes, bank statements, payroll records, vendor or client complaints, and tax filings. Put them in date order. A short written timeline shows when the absence began and which obligations went unmet.

Separate what the business already holds from what you must request. Signed agreements and bank records can be reviewed now. Other records may require a formal request. The partnership agreement cannot unreasonably restrict a partner’s right of access to books and records (Fla. Stat. § 620.8103).

Meanwhile, keep the business running. Pay bills on time and keep vendors and staff informed in factual terms. Avoid signing new obligations without review. Keep messages to the absent partner short, factual, and in writing.

Options Short of Litigation

Many partner disputes are resolved before any lawsuit. The usual paths are written notice, a negotiated buyout, mediation, and dissolution. Each one turns on the written agreement and the facts.

A written demand should name the agreement provision at issue and the cure you request. Keep the tone neutral. A clear record helps any later negotiation or court filing.

A negotiated buyout lets the remaining owners buy the absent partner’s interest, or lets the partner sell out. Valuation and transition terms are set by agreement, so the operating or partnership agreement often matters most here. If the agreement includes a mediation step, that step comes first.

Dissolution formally ends the business relationship. In a partnership at will, the partnership is dissolved and must be wound up when a partner gives notice of an express will to withdraw (Fla. Stat. § 620.8801). A partner may also apply for a court determination that another partner’s conduct makes it not reasonably practicable to carry on the business together (Fla. Stat. § 620.8801).

If the operating agreement has a deadlock sale provision that was started in time, it can resolve the deadlock instead (Fla. Stat. § 605.0702).

Timing, Deadlines, and Why Early Review Matters

Florida sets filing deadlines for many types of actions, and the limits vary by claim. Identifying the claim type early is the first step in tracking the clock.

Deciding when a claim arose can be a contested question. This is especially true when a partner’s absence continues over a long period. Which breach you treat as the starting point can change the timeline, so the record matters.

LLC members face a specific requirement. To bring a direct action against another member, a manager, or the company, a member must plead and prove an injury that is not solely the company’s, or an injury from a separate duty owed to the member (Fla. Stat. § 605.0801). A circuit court may dissolve a limited liability company on the grounds listed in s. 605.0702 (Fla. Stat. § 605.0702).

Early review helps. Reading the agreement, naming the claim type, and building the timeline at the start keeps options open.

Not sure what your next step is?

Talk it through with our team — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Talk With KEW Legal About Your Partner Situation

Whether a lawsuit fits your situation turns on the agreement and the facts.
